Usage Rights and Intellectual Property

Subject to full payment, Agency hereby grants Brand a worldwide, perpetual (unless otherwise limited below), royalty-free, transferable license to use, reproduce, distribute, create derivative works of, and display the Deliverables in connection with Brand advertising, marketing, and distribution of the VPN Services. Notwithstanding the foregoing, moral rights to attribution are hereby waived to the extent permitted by law.

FTC Disclosure and Compliance

Agency shall comply with all applicable advertising laws, regulations, and industry guidelines, including clear and conspicuous disclosures of the material connection between Agency and Brand in promotional content. Agency warrants that required disclosures will be presented in a manner reasonably likely to be noticed by the intended audience.

Exclusivity

Termination and Kill Fee

Either party may terminate this Agreement upon written notice to the other party. Where termination is for convenience by Brand, Brand shall provide prior written notice equal to:  days. Representations, Warranties and Indemnification

Each party represents and warrants that it has authority to enter into this Agreement and that its performance will not violate any agreement with a third party. Agency further warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total fees paid by Brand to Agency under this Agreement during the twelve (12) months preceding the claim.

Brand shall have the right to audit Agency records relevant to performance under this Agreement upon reasonable notice and during normal business hours.
