Exclusivity & Conflicts

Unless otherwise agreed in writing, Agency may provide advertising services to other clients. If Brand requires exclusivity, complete the exclusive terms below.

Termination & Kill Fee

Either Party may terminate this Agreement upon written notice. Termination obligations and any applicable kill fee are set forth below.

Intellectual Property

Ownership of intellectual property shall be allocated as follows unless otherwise negotiated in writing. Parties may retain pre-existing materials and grant licenses as described below.

Approvals, Revisions & Acceptance

Brand shall review and approve each deliverable within the timeframe specified below. Revision limits and additional fees for out-of-scope work are defined herein.

Warranties, Indemnity & Liability

Each Party represents and warrants the authority to enter this Agreement. Agency warrants that deliverables will not infringe third-party rights. Each Party shall indemnify the other for breaches as set forth below. Limitation of liability shall not eliminate liability for gross negligence or willful misconduct.

Confidentiality

The Parties will maintain as confidential all non-public information disclosed for the purpose of performing this Agreement, except as required by law. Confidential information will be used solely to perform obligations hereunder.

Miscellaneous Provisions

Assignment, force majeure, notices, and governing law are governed by this section. Any amendment must be in writing and signed by both Parties.
