MARKETING WEB AGREEMENT

This Marketing Web Agreement (the Agreement) is entered into as of , by and between the parties identified below.

The following deliverables will be produced, subject to Brand approval. Deadlines are firm unless changed by written change order.

Compensation and Payment

Usage Rights, License & IP

Agency hereby grants Brand a non-exclusive / exclusive license as checked below to use the final deliverables for the purposes and channels described in this Agreement, subject to payment in full and the terms below.

Ownership of pre-existing intellectual property used by each party remains with that party. Rights to newly created content shall be as selected below or otherwise assigned in writing.

Exclusivity

Unless checked below, Agency may perform services for other clients. If exclusivity is required, parties must specify duration and scope. Exclusivity applies only if expressly checked and compensated.

Expenses and Taxes

Third-party expenses require prior written approval from Brand. Agency shall submit itemized receipts. Taxes shall be the responsibility of the party required by applicable law.

Warranties, Indemnities & Limitation of Liability

Each party represents and warrants that it has the full power and authority to enter into this Agreement and that the deliverables will not infringe third-party rights. Agency will indemnify Brand against third-party claims arising out of Agency-created content that breaches any representation or warranty. Except for each party's indemnity obligations and a party's willful misconduct, neither party shall be liable for incidental or consequential damages; aggregate liability shall not exceed the total fees paid under this Agreement.

Confidentiality

Term, Termination & Kill Fee

This Agreement shall commence on the Effective Date and continue until completion of deliverables unless earlier terminated. Either party may terminate for convenience with prior written notice as set forth below.

Change Orders

Material changes to scope, timing, or compensation shall be implemented only by written change order signed by authorized representatives of both parties. The change order shall describe additional work, adjustments to fees, and new deadlines.

Governing Law & Dispute Resolution

Parties will attempt to resolve disputes in good faith. If unresolved within 30 days, parties may pursue arbitration or litigation as agreed in writing. Venue for any court action shall be the courts of the state specified above unless otherwise agreed.

Entire Agreement: This Agreement, together with any executed change orders, constitutes the entire agreement between the parties and supersedes prior negotiations. Amendments must be in writing and signed by both parties. If any provision is held invalid, remaining provisions remain enforceable.
