WHEREAS, Client desires to engage Agency to provide marketing-driven web design and related services in connection with a marketing campaign; and

WHEREAS, Agency has the expertise and capacity to provide the services described in this Agreement and agrees to perform such services under the terms set forth herein.

Scope of Services

Agency will provide web design, development, and marketing integration services (Services) necessary to create, launch, and support the Client's website and associated campaign materials as further described in the Deliverables section below. The Services include project management, design mockups, front-end and back-end development, content integration, on-page SEO setup, and testing.

The following deliverables shall be provided by Agency in accordance with the deadlines stated. Changes to scope or schedule require written change orders signed by both parties and may affect fees and delivery dates.

Compensation and Expenses

Client shall pay Agency the fees set forth below in consideration for the Services. All amounts are in U.S. dollars unless otherwise agreed in writing.

Remaining balance upon project completion and acceptance

Late payments shall accrue interest at a rate of on overdue balances.

Invoices and Payment

Usage Rights, License, and IP Ownership

Subject to full payment of all fees due under this Agreement, Agency grants Client a non-exclusive, worldwide, perpetual license to use the final deliverables for the Client's marketing purposes described herein, unless otherwise agreed in writing. Third-party materials and open-source components remain subject to their original licenses and are not assigned by Agency.

Ownership of Work Product: Upon full payment, Agency assigns to Client all right, title and interest in the Work Product created specifically for Client under this Agreement, except for Agency pre-existing materials, templates, tools, and methodologies, which remain Agency's exclusive property. FTC Disclosure Compliance

Where applicable, Agency shall ensure marketing content complies with applicable disclosure requirements, including clear and conspicuous disclosures of material relationships, endorsements, or sponsored content. Client confirms it will provide any required product or relationship information to Agency in a timely manner.

Exclusivity

Client requires that Agency act as exclusive provider of web design services for the campaign during the Term specified below.

If exclusivity is elected and Client terminates without cause before completion, Client shall pay a kill fee equal to of the remaining contracted fees.

Term and Termination

Term: This Agreement shall commence on the Effective Date and continue until completion of the Services unless earlier terminated in accordance with this section.

Termination for Cause: Either party may terminate if the other party materially breaches this Agreement and fails to cure such breach within days after written notice. Termination without cause requires days' prior written notice.

Confidentiality

Each party shall maintain in confidence the other party's confidential information and shall not disclose such information except to perform under this Agreement. Confidentiality obligations survive termination for years.

Representations, Warranties, and Indemnification

Agency represents that it will perform Services in a professional manner consistent with industry standards. Client represents that it has the right to provide materials and instructions to Agency and that such materials do not infringe third-party rights.

Each party shall indemnify and hold harmless the other from third-party claims arising from its own breach of this Agreement, willful misconduct, or violations of applicable law, subject to the indemnifying party's obligation to defend.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of Agency arising from or related to this Agreement shall not exceed the total fees paid by Client to Agency under this Agreement, or , whichever is greater.

Dispute Resolution and Governing Law

This Agreement shall be governed by the laws of the State of without regard to conflict of law principles. The parties agree to first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county selected by the prevailing party, subject to the arbitration rules agreed in writing.

Entire Agreement: This Agreement, together with any signed change orders, constitutes the entire agreement between the parties and supersedes all prior agreements. Amendments must be in writing and signed by both parties.
