Agency represents that it will comply with applicable advertising and disclosure laws and will include clear, conspicuous disclosures when content constitutes an advertisement or a paid partnership. Agency will obtain required clearances and retain records evidencing disclosures.

Confidentiality

Each party shall protect Confidential Information of the other party using the same standard of care it applies to its own confidential information, but not less than reasonable care. Confidential Information excludes information that is or becomes publicly known other than by breach, is rightfully received from a third party, or is independently developed.

Warranties, Indemnity & Insurance

Agency warrants that deliverables will not knowingly infringe third-party intellectual property rights and will comply with applicable laws. Client warrants it has rights to materials provided to Agency. Each party shall indemnify the other for losses arising from breaches of these representations.

Limitation of Liability

Except for liability resulting from willful misconduct or gross negligence, the aggregate liability of either party arising out of this Proposal shall be limited to direct damages not to exceed the total fees actually paid under this Proposal during the preceding twelve (12) months. Neither party shall be liable for consequential, special, or punitive damages.

Term, Termination & Kill Fee

This Proposal shall commence on the Campaign Start Date and continue until completion unless earlier terminated. Either party may terminate for convenience with prior written notice of days. Upon termination by Client without cause after Agency has commenced work, Client shall pay a kill fee equal to or actual costs incurred, whichever is greater.

Governing Law & Dispute Resolution
