Approvals & Change Control

Client shall provide consolidated review comments within days of receipt of each submission, or the submission is deemed approved. Change requests beyond included revision rounds shall be billed at the Agency's standard hourly rate.

Usage Rights & Intellectual Property

License Grant: Upon full payment, Agency grants the Brand a non-exclusive, worldwide license to use the delivered webpage assets for the Campaign during the term specified below, unless an assignment is executed as provided herein.

FTC Disclosure Compliance

For any public-facing pages or influencer-driven content, the Agency shall include clear and conspicuous disclosures where required by advertising and endorsement standards. Agency represents that all endorsements and sponsored material will include required disclosure language.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon days' written notice. If Client terminates without cause after work has commenced, Client will pay the Agency a kill fee equal to:

Representations, Warranties & Indemnity

Each party represents that it has the authority to enter into this Agreement. Agency warrants that deliverables will be original and will not infringe third‑party rights. Agency shall indemnify Brand against third-party claims arising from Agency's breach of the foregoing warranty; Brand shall indemnify Agency for claims arising from Brand-supplied materials or Brand's violation of applicable law.

Limitation of Liability

Except for liability arising from willful misconduct or indemnity obligations, neither party's aggregate liability under this Agreement shall exceed the total Fees actually paid by Brand to Agency under this Agreement.

Data, Analytics & Maintenance

Agency will provide access to analytics implementation as specified in the Deliverables. Ongoing maintenance, hosting, and updates are not included unless expressly set forth in this Agreement.
