Compensation & Expenses

Late payments will incur interest at the lesser of 1.5% per month or the maximum permitted by law. Agency shall invoice Client in accordance with the payment schedule above, and Client shall pay undisputed invoices within 30 days of receipt.

Unless otherwise agreed in writing, Client will reimburse reasonable third-party costs and out-of-pocket expenses incurred by Agency up to . Expenses exceeding that amount require prior written approval by Client.

Usage Rights & Intellectual Property

Subject to full payment of all amounts due hereunder, Agency grants Client a non-exclusive, worldwide, royalty-free license to use the final deliverables created under this Agreement for the Campaign for a period of from delivery, unless otherwise specified below.

Unless otherwise expressly agreed in writing, Agency retains ownership of pre-existing intellectual property, templates, source files, and know-how, and grants Client only the licenses expressly set forth in this Agreement. Client shall not claim ownership of Agency's tools or methodologies.

The parties agree that all promotional content shall comply with applicable advertising laws and regulations and require clear, conspicuous disclosures when applicable. Approvals, Revisions & Acceptance

Client will provide timely approvals and feedback within the timeframes set in the milestone schedule. Revisions beyond the agreed scope will be billed at Agency's standard hourly rates. Final acceptance will occur upon written confirmation by Client that deliverables meet the specifications in this Agreement.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon days' prior written notice. If Client terminates for convenience prior to completion of agreed deliverables, Client shall pay Agency for work performed through the date of termination, plus a kill fee equal to of the remaining contract value.

Representations, Warranties & Indemnity

Each party represents and warrants that it has the corporate authority to enter into this Agreement and that performance will not violate any other agreement. Agency warrants that deliverables will be original and will not knowingly infringe third-party intellectual property rights. Client agrees to indemnify and hold Agency harmless from claims arising from Client-supplied materials, modifications, or Client's use of the deliverables outside the scope of the license.

Agency's sole and exclusive liability for any claim related to this Agreement is limited to direct damages not to exceed the total fees paid by Client to Agency under this Agreement. Neither party will be liable for indirect, incidental, special, or consequential damages.

Confidentiality

Each party shall maintain in confidence any information marked confidential or that a reasonable person would understand to be confidential, and will use such information only for purposes of performing this Agreement. Confidential information does not include information that becomes public through no fault of the receiving party or that is independently developed.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the Campaign and supersedes all prior agreements. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder will remain in effect. Force majeure shall excuse performance for causes beyond a party's reasonable control.
