Change Orders

All requests for changes to scope shall be made in writing and are subject to written approval by Agency. Change orders may affect schedule and fees. Client acknowledges and agrees that no work outside the scope will commence without a signed change order specifying adjustments to fee and schedule.

Acceptance, Testing & Launch

Acceptance testing will follow the milestone schedule. Agency will provide testing documentation and Client shall provide written acceptance or a list of defects within ten (10) business days of delivery. Failure to provide timely acceptance constitutes deemed acceptance.

Intellectual Property & License

Upon full payment, Agency grants Client a non-exclusive, worldwide, perpetual license to use the delivered website code, graphics and content for Client's business purposes. Agency retains ownership of underlying tools, frameworks, templates and pre-existing intellectual property. Client is granted only the rights expressly set forth in this proposal.

Confidentiality

Each party agrees to hold confidential all non-public business information disclosed in connection with this engagement and to use such information only to perform its obligations under this proposal. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party.

Warranties, Indemnity & Liability

Agency warrants that services will be performed in a professional manner consistent with industry standards. Except for this express warranty, Agency disclaims all other warranties, express or implied. Client shall indemnify, defend and hold Agency harmless from claims arising from Client-provided content, trademark or patent infringement and failure to obtain necessary rights.

Limitation of Liability: Except for indemnity obligations or breaches of confidentiality, Agency's aggregate liability for any claim related to this proposal shall not exceed the total fees paid by Client to Agency under this proposal.

FTC Disclosure Compliance

If the website includes marketing endorsements, testimonials, or influencer content, Client and Agency shall comply with all applicable disclosure obligations. Content that is sponsored or compensated must include a clear and conspicuous disclosure of the commercial relationship at the point of presentation.

Exclusivity

During the term of this engagement, Client agrees not to engage third-party web development firms for the same scope without written consent from Agency. Any deviation may be subject to a remediation fee to cover work in progress and scheduling impacts.

Termination & Kill Fee

Either party may terminate this proposal upon thirty (30) days' prior written notice. If Client terminates without cause prior to substantial completion, Client shall pay Agency a kill fee equal to the unpaid portion of fees corresponding to work performed plus reasonable costs incurred to wind down.

Maintenance, Support & Hosting

Ongoing maintenance and hosting are not included unless specified. If Agency provides maintenance, terms, response times, and fees will be set forth in a separate maintenance agreement or scope amendment.

Miscellaneous

Governing Law: This proposal and any resulting agreement shall be governed by the laws of the jurisdiction specified by Client and Agency in a separate agreement. Any disputes shall be resolved through binding arbitration unless otherwise agreed in writing.

Acknowledgment

This proposal constitutes an offer by Agency to provide services upon the terms set forth herein. Upon signature by authorized representatives of both parties, this proposal will become a binding agreement governing the relationship between Client and Agency with respect to the described project.
