Third-Party Materials: Agency will obtain necessary licenses for stock assets and will disclose any third-party materials with associated licensing costs to Client in advance.

FTC Disclosure, Compliance and Representations

The Agency represents and warrants that all promotional content shall comply with applicable advertising and disclosure laws, including clear, prominent disclosure of material connections when required. Agency will include a disclosure statement on content where the relationship is material; Client approval of disclosure language is required prior to publication.

Indemnity: Each party will indemnify, defend and hold harmless the other from claims arising from its breach of representations, misuse of deliverables, or negligent acts. Liability shall be limited to direct damages not exceeding the total fees paid to Agency under this Agreement, except for claims of willful misconduct or gross negligence.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Agreement for a period of years, excluding information that is publicly available or independently developed.

Reporting, Metrics, and Revisions
