MARKETING WEBSITE HOSTING AGREEMENT

This Marketing Website Hosting Agreement (the Agreement) is entered into as of by and between:

Recitals

The Brand desires hosting and operational support for marketing websites used in campaigns and the Provider is in the business of providing website hosting, monitoring, and deployment services. The parties agree as follows.

Definitions

"Services" means all hosting, monitoring, backup, security, deployment, and related technical services described in Section Services below. "Campaign Website" means the website(s) specified by domain and content for marketing campaigns. "Confidential Information" means nonpublic business, technical, and customer information disclosed by either party that is designated confidential or would reasonably be understood to be confidential.

Provider shall provide the following hosting and operational services for the Campaign Website(s):

Service Levels and Maintenance

Provider warrants the hosting infrastructure will be available at least uptime measured monthly, excluding scheduled maintenance.

Security, Backups and Data Handling

Provider will implement commercially reasonable security measures, including TLS for hosted domains, routine security patching, malware scanning, and role-based access controls. Provider shall perform backups at least every with retention of days.

Content Deployment and Change Requests

Compensation and Payment

Brand shall pay Provider the fees set forth below in consideration for Services rendered.

Late payments will incur interest at a rate of on overdue balances, unless otherwise prohibited by law.

Intellectual Property and License

Brand retains all right, title and interest in Brand Content. Provider is granted a limited, non-exclusive, non-transferable license to host, copy, deploy and display Brand Content solely to provide the Services during the Term. Provider may not use Brand Content for other clients or promotional purposes without Brand's prior written consent.

Usage Rights, Territory and Duration

Provider is granted the rights to serve content to users worldwide for the duration of the Term. Territory: . Term: months, commencing on the Effective Date.

FTC Disclosure Compliance

If hosted content includes endorsements, sponsored posts, influencer content or paid placements, Provider will ensure required disclosures are clear and conspicuous on the Campaign Website(s). Provider shall cooperate with Brand to implement and maintain disclosure language required by consumer protection laws and advertising standards. Provider's compliance with changes in disclosure obligations is governed by written change requests and invoicing per Section Compensation.

Exclusivity

The parties agree that Provider shall not host materially similar campaign microsites for direct competitors of the Brand in the same product category during the Term if exclusivity is selected below.

Term, Termination and Kill Fee

Either party may terminate this Agreement for material breach that is not cured within days after written notice. Either party may terminate for convenience upon days' advance written notice. Termination for convenience by the Brand shall be subject to a kill fee of to cover sunk hosting and provisioning costs.

Confidentiality and Data Protection

Each party will maintain the confidentiality of Confidential Information for a period of three (3) years following termination. Provider will implement technical and organizational measures appropriate to the risk to protect Brand personal data and shall notify Brand without undue delay of any security incident affecting Brand data.

Representations, Warranties and Disclaimers

Each party represents that it has the authority to enter into this Agreement. Provider warrants it will perform Services in a professional and workmanlike manner and will not knowingly host content that infringes third-party rights. EXCEPT AS EXPRESSLY SET FORTH, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Indemnification and Limitation of Liability

Each party shall indemnify and hold the other harmless from third-party claims arising from its breach of the Agreement, negligence, or willful misconduct. Neither party shall be liable for incidental, consequential, punitive or exemplary damages. Provider's aggregate liability for direct damages shall not exceed the fees paid by Brand to Provider under this Agreement during the preceding twelve (12) months.
