What the Marketing Website Redesign Agreement Is

A Marketing Website Redesign Agreement is a written contract that documents the relationship between a client and a vendor (agency, freelancer, or contractor) for a website redesign. It defines scope of work, deliverables, milestones, payment terms, intellectual property ownership, acceptance criteria, warranties, confidentiality, and change-order procedures. The agreement reduces ambiguity about responsibilities, clarifies timelines and approval processes, and preserves remedies for breach. Electronic execution is generally enforceable under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, subject to statutory exceptions.

Why a Clear Redesign Agreement Matters

A precise agreement aligns expectations, limits scope creep, protects IP and confidential data, sets payment milestones, and provides measurable acceptance criteria to avoid disputes and delayed launches.

Why a Clear Redesign Agreement Matters

Who Typically Uses This Agreement

Agencies, in-house marketing teams, and independent consultants commonly use this agreement to govern design and development engagements.

  • Creative agencies and design shops: Standardize deliverables, retainers, and IP assignment terms for client projects.
  • In-house marketing and product teams: Control timelines and acceptance criteria for iterative releases.
  • Freelancers and consultants: Define scope, fees, and revision limits to limit unpaid work.

The document also helps procurement, legal, and finance teams by standardizing risk allocation and payment terms across vendor relationships.

Core Sections to Include in a Professional Agreement

A complete Marketing Website Redesign Agreement combines commercial terms with technical and legal details so both parties understand expectations and remedies.

Scope of Work

Describe specific pages, templates, CMS changes, integrations, and deliverables with measurable acceptance criteria and example outputs to avoid scope disputes.

Deliverable Schedule

List milestone dates, review cycles, and dependencies; link design approvals to start dates for development and testing phases to keep launches on track.

Payment Terms

Specify fees, deposits, milestone payments, invoicing intervals, late fees, and refund conditions to reduce billing disputes and support cash flow planning.

Change Orders

Define how out-of-scope requests are estimated, approved, and billed, with turnaround times for estimates and formal signatures for additional work.

Intellectual Property

State ownership, assignment timing, and license grants for source code, design assets, and third-party components; include repro rights and moral-rights waiver if applicable.

Acceptance & Testing

Define UAT steps, defect severity levels, correction windows, and final acceptance criteria that determine when the project is complete and final payment is due.

Step-by-Step: How to Complete the Agreement

Follow these sequential steps to prepare a complete, enforceable agreement that reduces risk and speeds approval.

  • Failing to include a clear change-order and approval process, which creates disagreement about what is billable work.
  • Overlooking third-party licensing or plugin costs that the client must approve in advance, causing launch delays.
  • Allowing unapproved work to start before signed terms are finalized, which complicates remedies and payment enforcement.
