FTC DISCLOSURE & ADVERTISING COMPLIANCE

Agency shall ensure that all promotional content, endorsements and sponsored materials include clear and conspicuous disclosures reflecting the commercial nature of the content in compliance with applicable advertising and consumer protection laws.

EXCLUSIVITY

Brand/Client and Agency may agree to an exclusivity arrangement as stated below. If no selection is made, no exclusivity is implied.

TERMINATION & KILL FEE

Either party may terminate this Agreement upon written notice to the other party as set forth below. Termination shall not relieve Brand/Client of obligations to pay for services performed and non-cancellable expenses incurred prior to termination.

WARRANTIES, REPRESENTATIONS & INDEMNIFICATION

Each party represents and warrants that it has the authority to enter into this Agreement and that its performance will not infringe third-party rights. Agency warrants that Deliverables will materially conform to the agreed specifications for a period of 30 days following acceptance. Brand/Client warrants that materials provided to Agency do not infringe third-party rights.

Each party agrees to indemnify, defend and hold harmless the other party from claims, damages and expenses arising from the indemnifying party's breach of representations, willful misconduct, or negligence.

LIMITATION OF LIABILITY

Except for breaches of confidentiality, indemnification obligations, or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages. The parties' aggregate liability for direct damages shall be limited to the total fees paid by Brand/Client to Agency under this Agreement.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's confidential information and shall not disclose such information except as reasonably necessary to perform under this Agreement. Confidentiality obligations shall survive termination for a period of years.

CHANGE ORDERS

Any change in scope requested by Brand/Client shall be documented in a written change order signed by both parties. Additional work will be billed at the agreed rates or, if not agreed, at Agency's standard rates.

ACCEPTANCE & REVIEW

Brand/Client shall have a review period of days from delivery to accept or provide reasonably detailed rejection of each Deliverable. Absent timely rejection, the Deliverable will be deemed accepted.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws chosen by the parties below. The parties will attempt to resolve disputes in good faith through negotiation, then mediation if necessary. If unresolved, disputes shall be resolved by binding arbitration in the jurisdiction selected by the parties.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and executed change orders, constitutes the entire agreement between the parties. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is deemed unenforceable, the remaining provisions shall remain in effect.
