MARKETING WHOLESALE AGREEMENT

This Marketing Wholesale Agreement (the "Agreement") is entered into as of by and between:

3. Pricing, Wholesale Terms and Compensation

Wholesale Partner will purchase Products from Brand at the wholesale pricing set forth below. Brand will invoice and Wholesale Partner will remit payment in accordance with the payment schedule and terms.

4. Usage Rights, Territory and Duration

Subject to full payment and Brand's intellectual property rights, Brand grants Wholesale Partner a limited license to use Brand marks, logos and approved marketing materials solely for wholesale marketing, resale and promotion of the Products as set forth below.

5. FTC Disclosure and Compliance

Wholesale Partner shall ensure that all paid, sponsored or otherwise material connections in marketing communications are clearly and conspicuously disclosed in compliance with applicable advertising and consumer protection laws. Brand may require approval of disclosure language prior to publication.

6. Exclusivity and Non-Compete

Unless otherwise set forth below, this Agreement is non-exclusive. Any grant of exclusivity must be separately negotiated and set forth in writing with defined territory, channels and duration.

7. Termination, Notice and Kill Fee

Either party may terminate this Agreement for convenience upon written notice to the other party subject to the notice period and any applicable kill fee set forth below. Termination for cause is immediate where the other party materially breaches and fails to cure within the cure period.

8. Intellectual Property and Ownership

Brand retains all right, title and interest in and to its trademarks, trade names, product designs and copyrighted materials. Wholesale Partner shall only use Brand intellectual property in accordance with Brand's written guidelines and this Agreement.

9. Confidentiality

Each party shall keep confidential the other's proprietary information disclosed in connection with this Agreement and shall use such information solely for the purposes of performing obligations under this Agreement, subject to customary exceptions for legal compulsion and publicly available information.

10. Indemnification; Warranty; Limitation of Liability

Each party agrees to defend and indemnify the other from third-party claims arising out of its negligence, willful misconduct, or breach of representations and warranties. Brand represents that it has the necessary rights to grant the licenses herein. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state indicated below without regard to choice-of-law principles. Parties shall attempt to resolve disputes in good faith before initiating formal proceedings.

12. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or as subsequently updated in writing by a party.

13. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. No amendment is effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other except to a successor in interest in connection with a merger or sale of substantially all assets.
