Recitals

WHEREAS, Client engages Designer to prepare marketing and outreach materials that are compliant with the supplemental nutrition program requirements applicable to WIC-related outreach and to promote Client programs to identified populations; and

WHEREAS, Designer possesses expertise in design, copy, and production of printed and digital marketing assets, and Client desires to retain Designer on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, schedule, payment, confidentiality, intellectual property and other contractual terms for the development and delivery of marketing deliverables described below.

Designer shall provide the design, copy drafting, production-ready files, and production oversight for marketing materials described below. Designer will coordinate with Client to ensure materials meet applicable WIC program communication standards and do not imply endorsement by any government program.

Payment Terms

Total Fee (USD):

Client shall pay a non-refundable deposit of upon execution of this Agreement. Remaining balance shall be paid according to the schedule below or upon final delivery, whichever occurs first.

Late Payment Fee: Any payment not received within days of invoice due date shall accrue late fees of per month on the outstanding balance, compounded monthly.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination for convenience by Client is permitted upon days' written notice, with payment for work performed through termination date and reimbursement for non-cancelable commitments incurred by Designer.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, is already known to the receiving party at the time of disclosure, or is independently developed by the receiving party without reference to the disclosing party's Confidential Information. Recipient shall (i) use Confidential Information solely for the performance of this Agreement, (ii) restrict disclosure to its employees, contractors or agents with a need to know and who are bound by obligations of confidentiality at least as protective as those in this Agreement, and (iii) protect Confidential Information with reasonable care. Upon termination or request, recipient shall return or destroy Confidential Information as directed by the disclosing party.

Intellectual Property and Use Rights

Designer shall retain ownership of pre-existing materials and of any tools, templates or general skills used to perform the services. Upon full payment of all amounts due, Designer grants Client a perpetual, non-exclusive, worldwide license to use, reproduce and display the final deliverables for Client's programmatic and promotional activities, including printed and digital use related to WIC outreach. If Client requires assignment of copyright in final deliverables, the parties shall indicate assignment here:

Client represents that it will provide or obtain all necessary rights, releases and permissions for third-party materials (including photographs, logos, and copyrighted copy) supplied to Designer for inclusion in deliverables. Designer shall not be liable for infringement resulting from Client-supplied materials or Client-directed content.

Compliance and Warranties

Designer warrants that to the best of its knowledge the deliverables will not knowingly violate any third-party intellectual property rights. Designer warrants that delivered marketing materials will be prepared in a professional manner and will comply with the non-endorsement and factual representations required for WIC-related promotional content. EXCEPT AS EXPRESSLY SET FORTH, DESIGNER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from and against any claims, damages or liabilities arising from its gross negligence, willful misconduct, or breach of this Agreement. Neither party shall be liable to the other for incidental, consequential, special or punitive damages except for liability arising from willful misconduct or gross negligence.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and executed by authorized representatives of both parties.
