MARKETING WINE PROMOTION AGREEMENT

Usage Rights and Intellectual Property

License Grant: The Agency hereby grants the Brand a non-exclusive / exclusive (select and specify) license to use the Deliverables for the Territory and Term set forth below, subject to payment in full and the limitations identified in this Agreement.

FTC Disclosure and Compliance

The Agency represents and warrants that all paid endorsements, sponsored posts or promotional content will comply with applicable advertising and endorsement disclosure requirements. The Agency will include clear and conspicuous disclosure of the commercial relationship in each applicable Deliverable.

Approvals, Revisions and Rejection

Approval Lead Time: Brand shall provide approvals within days of submission. The Agency will provide up to rounds of revisions included in the Fee. Additional revisions will be billed at a rate agreed in writing.

Reporting and Metrics

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and perform its obligations. The Agency warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. The Agency shall indemnify and hold harmless the Brand from any third-party claims arising from Agency-created content, except to the extent caused by Brand materials or directions.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed in connection with this Agreement and to use such information only for performance of obligations under this Agreement. Confidential information does not include information that is publicly known or independently developed without use of confidential information.

Termination

Either party may terminate for material breach if the breaching party fails to cure within days after written notice. Brand may terminate without cause upon days' prior written notice, in which case the Brand will pay a kill fee equal to or fees earned to date, whichever is greater.

Intellectual Property Ownership

Unless otherwise agreed in writing, the Agency retains ownership of pre-existing Agency materials and of underlying raw creative assets; the Brand receives a license to use final Deliverables as set forth in the License Grant above. Any custom work-for-hire designation must be expressly stated and signed by both parties.

Force Majeure and Governing Law

Neither party shall be liable for delays or failures in performance due to causes beyond reasonable control. This Agreement will be governed by the laws of the jurisdiction selected by the parties below. Any disputes shall first be subject to good faith negotiations, then to mediation, and if unresolved, to binding arbitration.
