What the Marketing YEXT Agreement Is and when it applies

The Marketing YEXT Agreement is a service and data-sharing contract used to authorize a vendor or agency to manage a company's Yext-managed listings and directory content. It defines scope of work, data access, update cadence, fees, intellectual property rights for listings and content, privacy and data-handling obligations, and the term and termination mechanics. Organizations use this agreement to document consent for centralized listing changes, analytics access, and paid listing services while preserving auditability and legal accountability for changes to public-facing business information.

Why a clear Marketing YEXT Agreement matters

A concise, well-structured Marketing YEXT Agreement reduces operational ambiguity, assigns responsibility for listing accuracy, and documents consent for data changes and analytics sharing. It also creates a record for audit, dispute resolution, and regulatory compliance when third parties handle customer-facing data.

Why a clear Marketing YEXT Agreement matters

Who typically completes or signs this agreement

The Marketing YEXT Agreement is completed by business owners, marketing managers, or external agencies that will manage directory listings and site metadata on the business's behalf.

  • Corporate marketing teams and local managers responsible for brand listings and citations across digital directories.
  • Digital marketing agencies and SEOs contracted to optimize and update Yext listings and structured data.
  • Franchise support or multi-location administrators coordinating consistent business data and analytics across locations.

Step-by-step: complete and execute the Marketing YEXT Agreement

Follow these sequential steps to prepare, approve, and execute the agreement with minimal delays.

  • 01
Prepare draft: Populate parties, scope, fees, and effective date with legal review as needed.
  • 02
Review internally: Routing to marketing, IT, and legal reduces post-signature disputes.
  • 03
Authorize signer: Identify the authorized signer and verify their authority to bind the entity.
  • 04
Execute electronically: Use an ESIGN/UETA-compliant eSignature solution and retain the audit trail.

Where to send and how the executed agreement is routed

After signing, the agreement follows an approval and distribution workflow. Confirm each recipient and storage location before finalizing.

  • Vendor copy: Send the fully executed agreement to the vendor account owner for onboarding.
  • Internal records: Store a signed copy in the company contract repository and finance folder.
  • Yext account: Supply required authorization details to the Yext account administrator for connectivity.
  • Audit trail: Retain eSignature audit logs and version history for compliance and dispute resolution.

Recommended digital workflow settings for eCompletion

Configure workflow settings to align signers, authentication, reminders, and storage before sending the first request.

Field Configuration
Signature Order Sequential signing: business representative then vendor contact for accountability.
Authentication Email plus SMS code for moderate assurance; use KBA for higher assurance.
Reminder Schedule Auto-reminders at 3 and 7 days; manual follow-up thereafter.
Storage Location Save signed copies to secure contract repository and cloud backup.

Technical considerations for eSignature and eSubmission

Choose a platform that meets authentication, storage, and integration needs for directory management.

  • Integrations: Support for systems like Salesforce, Google Workspace, and NetSuite facilitates contract and account mapping.
  • Document formats: Accepts PDF and DOCX for reliable field placement and long-term storage.
  • Authentication options: Offer email link, SMS code, or advanced signer verification per risk level.

Core components to include in a professional Marketing YEXT Agreement

A complete agreement combines operational detail with legal protections. The six elements below form the backbone of a clear contract.

Parties

Identify the full legal names and contact details of the contracting entity and the service provider to eliminate ambiguity about who is bound by the agreement.

Scope of Services

Describe listing management tasks, publishing cadence, review monitoring, and any analytics reporting obligations with measurable deliverables and acceptance criteria.

Term and Renewal

Specify the agreement start date, initial term, renewal mechanism, and notice period required for non-renewal or termination to avoid unintended auto-renewals.

Fees and Payment

Detail fees, invoicing frequency, payment methods, late payment interest, and consequences for non-payment including suspension of services.

Data Use and Privacy

Define permitted uses of listing data, retention of analytics, any data sharing with third parties, and responsibilities for regulatory compliance and breach notification.

Termination and Liability

Outline termination rights for convenience and cause, transition assistance, liability caps, indemnities, and dispute resolution procedures to limit post-termination exposure.

Security and compliance controls to verify before execution

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Certifications: SOC 2 Type II and ISO 27001
HIPAA: BAA available for protected health information
21 CFR Part 11: Supports electronic records and signatures
Privacy Compliance: GDPR and CCPA alignment
Accessibility: WCAG 2.0 Level AA support

Common risks and consequences of an incomplete or incorrect agreement

Contract Breach: Unclear scope leads to disputes and potential damages
Unauthorized Access: Excessive data access can create privacy violations
Payment Disputes: Missing fee terms cause collection and service suspensions
Regulatory Exposure: Inadequate privacy language increases compliance risk
Brand Harm: Erroneous public info can damage reputation and sales
Data Loss: Insufficient retention policies hinder audits and litigation

Frequent mistakes to avoid when preparing this agreement

  • Using vague service descriptions that leave dispute over responsibilities and SLAs unresolved, resulting in inconsistent delivery and billing issues.
  • Failing to specify data access boundaries and retention, which can produce privacy violations and unexpected vendor access to customer data.
  • Not assigning clear signature authority or using unsigned exhibits, which creates enforceability gaps and onboarding delays.
  • Skipping eSignature audit retention or choosing a platform lacking secure logs, making it harder to prove consent in disputes.

Key timing and deadline considerations

Track critical dates for activation, renewals, and deliverables to prevent service interruptions and unexpected billing.

Effective Date:

When obligations and permissions begin; set as MM/DD/YYYY in the agreement

Onboarding Window:

Typical 7–30 day period for initial listings update and account connection

Renewal Notice:

Commonly 30–60 days prior to renewal to permit negotiation or termination

Update SLA:

Agree expected update cadence (e.g., 24–72 hours for critical listing changes)

Retention Review:

Schedule periodic review of stored records and audit logs per retention policy

Real-world examples of Yext-related agreements in practice

Practical tips for accurate, efficient completion

Adopt these practices to reduce friction during negotiation, execution, and ongoing management of the agreement.

Standardize templates
Maintain a single approved template with version control; use fillable fields to prevent omitted clauses and to ensure consistent legal language across locations.
Define measurable SLAs
Include precise metrics for update cadence, response times, and acceptable error rates to reduce ambiguity and enable objective vendor performance measurement.
Limit data access
Grant the minimum necessary access for listing and analytics tasks; document any elevated permissions and require written approval for additional access.
Retain audit trails
Use an eSignature platform that stores timestamps, IP addresses, and action logs; retain those records in the contract repository for the full retention period.
