MARKETING YOUTUBE AGREEMENT

Parties

This Marketing YouTube Agreement ("Agreement") is entered into between:

Recitals and Term

WHEREAS Brand engages Creator to produce sponsored video content for Brand's product, service, or campaign on the YouTube platform; and WHEREAS Creator has the experience, audience, and resources to produce and publish such content under the terms set forth herein.

Effective Date: . This Agreement shall continue in effect until the earlier of completion of all Deliverables or termination in accordance with Section Termination.

Definitions

"Deliverables" means the video assets, thumbnails, captions, and any ancillary materials to be produced under this Agreement as described below. "Campaign" means the set of Deliverables and promotional activity identified in the Campaign Details. "Territory" means the geographic scope for licensed use specified in Usage Rights.

Creator shall produce and deliver the following Deliverables in accordance with the schedule below. Unless otherwise agreed in writing, deliverables are inclusive of filming, editing, thumbnails, captions/subtitles, and one round of minor revisions per Deliverable.

Compensation and Payment

Brand agrees to pay Creator the fees described below in consideration for the Deliverables and rights granted herein.

Deposit required: due upon execution. Final payment due within days of delivery and Brand approval.

Usage Rights and Intellectual Property

Creator grants Brand a license to use the Deliverables as set forth below. Unless otherwise agreed in writing, Creator retains ownership of underlying raw footage and underlying pre-existing intellectual property; Brand receives the following license to the final Deliverables:

FTC Disclosure Compliance

Creator warrants that all sponsored content will include clear and conspicuous disclosure of the material connection between Creator and Brand in compliance with applicable advertising and consumer protection laws and platform policies.

Creator will include a clear disclosure in each Deliverable that identifies the content as sponsored or paid.

Exclusivity

Creator's exclusivity obligations (if any) are set forth below.

Creator agrees to exclusive promotion of Brand's product category for the exclusivity period. No exclusivity; Creator may promote other brands.

Termination and Kill Fee

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified below. If Brand terminates without cause after Creator has begun work, Brand shall pay a kill fee as described below.

Warranties; Representations; Insurance

Creator represents and warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws and platform policies. Brand represents that any materials or marks provided do not infringe third-party rights.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other from claims arising out of its breach of representations, warranties, or willful misconduct. Except for indemnification for third-party claims or willful misconduct, neither party's liability shall exceed the total fees paid under this Agreement.

Confidentiality

Each party shall maintain the confidentiality of the other's confidential information and shall not disclose such information except as required by law or with prior written consent.

Approval, Reporting and Metrics

Brand shall provide approvals or comments on submitted drafts within business days. Creator will provide performance metrics (views, watch time, engagement) for each Deliverable for the first days following publication.

Compliance with Platform Policies

Creator will comply with YouTube's community guidelines, copyright policies, and any applicable content monetization rules. Brand shall not direct Creator to violate platform rules.

Miscellaneous

Governing Law: . This Agreement constitutes the entire agreement and may be amended only by written instrument signed by both parties.
