Usage Rights and Intellectual Property

Creator grants Brand a non-exclusive or exclusive license as specified below, subject to full payment. Creator represents that Creator has full rights to grant the license and that the content will not infringe third-party rights.

FTC Disclosure & Compliance

Creator shall comply with applicable advertising and disclosure laws and platform rules. All paid or material connections must be clearly and conspicuously disclosed in the video and description at the time of posting.

Exclusivity

Exclusivity applies during the exclusivity period

Termination

Either party may terminate this Agreement as provided below. Termination must be effected by written notice to the other party in accordance with the notice provisions herein.

Confidentiality

Representations, Warranties & Indemnification

Creator represents and warrants that the content will be original, will not violate any law or third-party rights, and that Creator has the full right to enter into this Agreement. Creator shall indemnify and hold harmless Brand from third-party claims arising from Creator's breach of the foregoing representations.
