MASTER BATH LISTING AGREEMENT

This Master Bath Listing Agreement ("Agreement") is entered into between the undersigned Owner(s) (collectively "Seller") and the undersigned Broker or Brokerage ("Broker"). Broker is engaged to list, market and procure a buyer for the property identified below on the terms set forth herein. Seller grants Broker the authority described in this Agreement and agrees to the compensation provisions herein.

FINANCIAL TERMS

Commission becomes payable at closing from proceeds, or upon unconditional transfer of title. If Seller procures a buyer or sale occurs within days after listing expiration to a party introduced by Broker during the term, Seller agrees Broker is entitled to the commission described above.

MARKETING, MLS AND ACCESS

INSPECTIONS, REPAIRS AND CONDITION

Seller authorizes reasonable access for inspections, appraisals and showings. Seller will maintain the Property in substantially the same condition as of the date of this Agreement, reasonable wear and tear excepted. Buyer inspections and repair negotiations are subject to the purchase contract. Seller agrees to disclose any known defects in writing to prospective buyers.

DEFAULT, TERMINATION & REMEDIES

If Seller breaches this Agreement, Broker may recover actual damages, commission as provided herein if a sale results from Broker's efforts, and costs and reasonable attorneys' fees. If Broker breaches, Seller may recover actual damages and may terminate this Agreement. Termination does not affect obligations that expressly survive termination, including indemnities and commission protection periods.

INDEMNIFICATION; INSURANCE

Seller shall maintain insurance on the Property until transfer of title and shall indemnify, defend and hold Broker harmless from claims arising from Seller's acts, omissions or representations, except to the extent caused by Broker's gross negligence or willful misconduct.

MISCELLANEOUS

Governing Law: The validity, interpretation and performance of this Agreement shall be governed by the laws of the state named below.

Entire Agreement: This Agreement contains the entire understanding between the parties with respect to its subject and supersedes all prior agreements and understandings. Any modification must be in writing signed by both parties.

Notices shall be given in writing and delivered to the contact addresses set forth above. Headings do not affect interpretation. If any provision is held invalid, the remainder of the Agreement remains enforceable.
