WHEREAS, Recipient, identified above as , desires to accept physical possession of the listed materials under the terms set forth in this Material Release Form; and

WHEREAS, the parties agree that transfer of possession, risk, and any payment obligations shall be governed by the terms and conditions set forth herein.

Scope of Work

The parties agree that the scope of the release includes physical transfer of possession and any handling and loading services expressly described below. Releasor is responsible solely for delivering the materials in the condition described at the time of release and for providing accurate serial/lot information.

The parties acknowledge the following payment arrangement for the materials described above. Payment obligations are independent from acceptance for defects and are governed by the schedule and late-payment provisions below.

Certification, Acceptance & Release of Liability

By signing below, Releasor certifies that it has clear title to the materials listed, that there are no liens or encumbrances except as disclosed in writing, and that it is authorized to release possession. Releasor further warrants the accuracy of quantities and serial/lot numbers to the best of its knowledge.

Recipient acknowledges receipt of the materials in the quantities and condition indicated and accepts physical possession. Recipient assumes risk of loss and responsibility for storage, transport, and subsequent use unless otherwise agreed in writing. Acceptance is subject to the inspection provisions below.

Confidentiality

Each party agrees that non-public business information disclosed in connection with this release, including pricing, specifications, serial numbers and proprietary data, shall be treated as confidential and shall not be disclosed to third parties except as required by law or with the prior written consent of the disclosing party. This obligation survives termination of this release for a period of three (3) years.

Governing Law; Entire Agreement

This Material Release Form shall be governed by and construed in accordance with the laws of the state indicated below. Any dispute arising under or related to this release shall be resolved in the state or federal courts located in that state.

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral, concerning the materials released herein. No amendment shall be effective unless in writing and signed by both parties.
