WHEREAS, Client Name engages Supplier Name to furnish materials and related information necessary for the execution of the Project identified above; and

WHEREAS, Supplier Name represents that the material quantities, units, specifications and estimated costs set forth herein reflect Supplier Name's reasonable estimate of materials required for the Project and that Supplier Name will make all commercially reasonable efforts to source materials consistent with the Project specifications; and

WHEREAS, the parties desire to document material types, quantities and estimated costs, and to set forth payment, confidentiality and governing law terms applicable to the material supply portion of the Project.

Payment Terms

Late payments shall accrue interest at the rate set forth below and Supplier shall have the right to suspend material deliveries if payments are delinquent beyond the stated period.

Term and Termination

This Material Usage Breakdown shall commence on the Start Date and shall expire on the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Material Usage Breakdown for material breach if the breaching party fails to cure within the notice period specified above. Termination will not relieve the Client of obligations to pay for materials delivered and accepted prior to termination.

Confidentiality

Confidential information shall remain the property of the disclosing party and must be returned or destroyed upon written request.
