MATERIAL USE AGREEMENT

This Material Use Agreement ("Agreement") is entered into as of Effective Date: by and between Licensor Name: with principal address: ("Licensor"), and Licensee Name: with principal address: ("Licensee").

WHEREAS

WHEREAS, Licensor possesses certain tangible and intangible materials, samples, prototypes, technical documentation and related embodiments identified below (collectively, "Materials") and owns or controls rights necessary to authorize limited use of those Materials; and

WHEREAS, Licensee desires to receive and use the Materials for the specific, limited purposes set forth in this Agreement and Licensor is willing to provide such Materials subject to the terms and conditions below.

WHEREAS, the parties intend by this Agreement to define permitted uses, compensation, confidentiality obligations, and return procedures with respect to the Materials.

Licensor grants to Licensee a non-exclusive, non-transferable, revocable license to use the Materials solely for the purposes described below and subject to the limits and restrictions of this Agreement.

3. PAYMENT TERMS

Any undisputed past-due amount shall accrue interest at the rate of or the maximum rate permitted by law, whichever is lower. Licensee is responsible for all collection costs, including reasonable attorneys' fees.

4. TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days in advance. Either party may terminate immediately upon written notice in the event of a material breach by the other party that remains uncured for thirty (30) days following receipt of written notice of such breach.

5. CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" includes any non-public information disclosed by Licensor to Licensee concerning the Materials, including composition, specifications, technical data, processes, analyses, and commercial terms. Licensee shall hold Confidential Information in strict confidence, shall use the Confidential Information solely to exercise its rights under this Agreement, and shall not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by written confidentiality obligations at least as protective as those set forth herein.

Confidentiality obligations shall not apply to information that Licensee can demonstrate: (a) was in the public domain at the time of disclosure; (b) becomes part of the public domain through no fault of Licensee; (c) was rightfully in Licensee's possession prior to disclosure; or (d) is required to be disclosed by law or valid order of a court or governmental agency, provided Licensee gives Licensor prompt notice of such requirement and cooperates in any lawful effort to limit disclosure.

6. RETURN OR DISPOSITION OF MATERIALS

Upon expiration or termination of this Agreement, Licensee shall, at Licensor's election, promptly return all Materials and copies thereof or certify their secure destruction within days. Materials returned shall be in substantially the same condition as initially provided, allow for reasonable wear from permitted use.

7. REPRESENTATIONS, WARRANTIES AND INDEMNITY

Licensor represents that it has the right to provide the Materials for the purposes set forth in this Agreement. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, ALL MATERIALS ARE PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Licensee shall defend, indemnify and hold harmless Licensor from any claims, losses or liabilities arising from Licensee's use, handling or disposal of the Materials, except to the extent caused by Licensor's gross negligence or willful misconduct.

8. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable to the other for consequential, incidental, special or punitive damages, and total aggregate liability for claims arising under this Agreement shall not exceed the amounts actually paid by Licensee to Licensor under this Agreement during the twelve (12) months preceding the claim.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both parties.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth above or to such other address as either party may designate in writing, and shall be deemed given upon personal delivery, upon confirmed delivery by nationally recognized overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid, certified or registered.

12. MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor entity in connection with a merger or sale of substantially all assets.
