WHEREAS, Requesting Party requires certain materials, supplies and related items to perform or complete the project described above; and

WHEREAS, Supplier (the party providing materials) has the capacity and agrees to supply the materials specified in this form in accordance with the terms set forth herein; and

WHEREAS, the parties desire to document both the material request and the commercial terms governing supply of those materials.

Each party shall keep confidential and shall not disclose to any third party any proprietary, commercial or technical information ("Confidential Information") received from the other party in connection with this request, except as required by law or with prior written consent. Confidential Information does not include information which is publicly known through no breach by the receiving party, independently developed without use of the disclosing party's information, or lawfully received from a third party without restriction.

Delivery and Inspection

Materials shall be delivered FOB Delivery Location unless otherwise specified. Requesting Party shall inspect delivered materials within a commercially reasonable time and shall notify Supplier in writing of any nonconformity. Supplier shall, at its option, replace nonconforming materials or credit Requesting Party for the nonconforming portion.

Governing Law

This form and any supply obligations arising from it shall be governed by and construed in accordance with the laws of the jurisdiction specified below.

Entire Agreement and Amendments

This Materials Request Form and Supply Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. No amendment or waiver shall be effective unless made in writing and signed by authorized representatives of both parties.
