What a Matter Specification Template Is and When It's Used

A Matter Specification Template is a structured intake and project-definition form used to open, scope, and track legal matters or client projects. It captures core identifiers (matter name/number), client and counterparty details, responsible attorney or project lead, practice area, key dates, scope of work, budget or fee arrangements, and required attachments. The template standardizes intake across teams, reduces ambiguity about responsibilities and deliverables, and creates a single record that feeds timekeeping, billing, and document-management systems for later audit and retention. Use the template at matter intake, major scope changes, or before executing engagement letters.

Why a Clear Matter Specification Matters

A concise matter specification reduces onboarding errors, speeds approvals, and preserves evidence of client instructions and fee terms for compliance and audit purposes.

Why a Clear Matter Specification Matters

Who Typically Completes and Uses This Template

Legal intake teams, office managers, and responsible attorneys usually complete the template to ensure consistent matter setup and handoff.

  • Client intake coordinators who gather initial facts and documents before the matter is created in the practice management system.
  • Responsible attorneys or partners who confirm scope, budget, and conflicts and sign off on engagement terms.
  • Billing and records staff who use the matter identifier to link time entries, invoices, and retention schedules.

Proper completion reduces rework, supports accurate billing, and provides a defensible record for conflicts checks and regulatory retention.

Core Sections to Include in a Professional Matter Specification

A well-crafted template groups data for identification, commercial terms, operational details, compliance checks, and deliverables so teams can act without follow-up.

Matter ID

Unique alphanumeric identifier used for timekeeping, billing, and document management to avoid mismatches.

Parties

Full legal names, roles (client, opposing party), and contact details for service and notices.

Scope

Concise statement of services, key objectives, and out-of-scope items to limit disputes over deliverables.

Fees & Budget

Billing arrangement (hourly, flat, contingency), budget cap, and invoicing cadence or retainers.

Key Dates

Effective date, anticipated close or filing deadlines, statute of limitations considerations, and milestones.

Attachments

List required exhibits, prior agreements, corporate documents, or ID needed to proceed.

Step-by-Step: Completing the Matter Specification

Follow these sequential steps to prepare a usable matter record that supports intake, conflicts, billing, and compliance checks.

  • 01
Prepare Template: Select the correct template version and pre-fill firm identifiers and intake contact details.
  • 02
Enter Core Data: Populate client name, matter name, matter number, responsible attorney, and effective date.
  • 03
Attach Documents: Upload exhibits, prior agreements, and ID documents referenced in the scope or required for conflicts checks.
  • 04
Review and Sign: Validate entries, route for approvals, and collect authorized electronic signatures or notarizations as required.

How Digital Completion and eSubmission Typically Flow

Digital workflows reduce handoffs: prepare the template, route for approval, collect eSignatures, and store with an auditable trail.

  • Upload: Sender uploads the template and attaches exhibits in PDF or DOCX format.
  • Place Fields: Add signature, initials, date, and conditional fields before routing.
  • Authenticate: Signers authenticate by email link, SMS code, or stronger methods if required.
  • Archive: Signed package and audit trail are stored in the document management system.

Recommended Online Workflow Settings for Consistent Processing

Standardize configuration to ensure the same routing, authentication, and retention behavior for every matter intake.

Field Configuration
Auto-numbering Enable matter-number generation on creation
Approval Order Require responsible attorney sign-off before engagement letter
Signer Auth Email + SMS code for remote signers
Retention Tag Apply document type tag for automated retention policy

Integration and Format Requirements for eSubmission

Confirm the electronic platform supports required formats, signer authentication, and integration with practice management systems.

  • File Formats: PDF and DOCX supported
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: Email, SMS, KBA available

Ensure the chosen platform produces an audit trail, preserves originals, and can export signed packages to your DMS for retention and compliance.

Timelines and Deadlines to Track When a Matter Opens

Record key dates as discrete fields to trigger calendar events, statute checks, and retention schedules from day one.

Effective Date:

MM/DD/YYYY — start of obligations

Engagement Letter Due:

Within 7–14 days of intake

Conflict Check Complete:

Prior to engagement acceptance

Billing Start Date:

When first service is delivered

Review Milestone:

Quarterly scope and budget review

Common Mistakes to Avoid When Preparing This Template

  • Entering informal client names instead of legal entity names, which leads to payment and contract mismatches and delays.
  • Leaving the effective date blank or using inconsistent date formats that impede automated retention and statute-of-limitations tracking.
  • Failing to attach required exhibits (contracts, prior correspondence), causing scope uncertainty and later evidentiary problems.
  • Using vague scope language such as 'reasonable efforts' without measurable deliverables, which increases billing disputes.

Penalties and Risks from Incomplete or Incorrect Templates

Billing Errors: Lost revenue or client disputes
Compliance Risk: Regulatory exposure for poorly retained records
Conflict Liability: Undisclosed conflicts may cause disqualification
Missed Deadlines: Court or filing sanctions
Invalid Authorization: Unsigned engagements may be unenforceable
Data Breach: Confidentiality loss and remediation costs

Optica Ventures

The interface is simple and easy-to-use for our team; more importantly, it is just as easy for our customers.

  • Matter templates reduced intake follow-ups substantially.
  • As COO Brian Fitzgibbons reports, consistent templates lowered administrative time and improved client response rates while preserving an auditable record for each matter.

Martin Properties

I can process and execute all of these documents online with 100% compliance and built-in security.

  • Used for property management matters and leasing files.
  • Founder Tim Martin notes that online templates and signed packages let his team close leasing matters faster and maintain consistent retention for tenant records.

Practical Tips for Accurate and Efficient Completion

Adopt these practices to reduce errors, speed approvals, and preserve legal validity across matters.

Use Standardized Naming
Apply a firm-wide convention for matter names and numbers to prevent duplicate matters and ensure reliable cross-system linking for billing and documents.
Validate Identity
Confirm client legal name and signatory authority up front to avoid contract disputes and payment delays; request supporting documents when necessary.
Record Approvals
Capture approvals by name, role, and timestamp. An audit trail showing who signed and when strengthens enforceability and internal controls.
Automate Retention Tags
Apply metadata tags at intake so records are archived or deleted per legal and firm policies without manual intervention.
