SCOPE OF WORK

PAYMENT TERMS

Client shall pay Contractor for performance of the Services in accordance with the schedule and amounts set forth below. All amounts are payable in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Unless otherwise agreed in writing, invoices are due within days of invoice receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus any costs of collection, including reasonable attorney fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination for convenience by either party requires prior written notice in accordance with the Notices provision below.

CONFIDENTIALITY

Each party (the "Recipient") acknowledges that, in the course of performing this Agreement, it may receive or have access to Confidential Information of the other party (the "Discloser"). Confidential Information includes nonpublic business, technical, financial, or other information that a reasonable person would deem confidential. The Recipient shall: (a) hold Confidential Information in strict confidence and use it solely to perform obligations under this Agreement; (b) restrict disclosure to those employees, agents or subcontractors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (c) not disclose Confidential Information to any third party without the Discloser's prior written consent. Confidential Information does not include information that is or becomes publicly available through no fault of the Recipient, is independently developed without use of the Discloser's Confidential Information, or is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other party.

ADDITIONAL PROVISIONS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement creates an employer-employee, joint venture, partnership, or agency relationship between the parties.

Indemnification: Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement or the gross negligence or willful misconduct of the indemnifying party, except to the extent such claims arise from the indemnitee's own negligence or willful misconduct.
