Recitals (Whereas)

WHEREAS, Client requires measurement, testing and related data collection services for samples, equipment or sites as described herein; and

WHEREAS, Service Provider is engaged in the business of performing measurements and data collection and represents that it has the personnel, equipment, and technical competency to perform the services under the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows.

Scope of Work

Services include, without limitation, sample receipt and identification, calibration verification of instruments prior to measurement, measurement execution in accordance with agreed protocols, data validation, and delivery of measurement logs and final data deliverables in the format specified in the Scope of Work.

Measurement Data

The following measurement entries constitute the primary data capture fields. Service Provider shall record each measurement accurately and legibly. Additional rows may be appended on separate sheets and submitted with this form.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for services rendered and data delivered in accordance with the Scope of Work.

All invoices are due as specified in the Payment Schedule. Late payments shall accrue interest at the rate set forth above and Client shall be responsible for reasonable costs of collection, including attorney fees, if applicable.

This Agreement commences on the Effective Date and continues until completion of the Scope of Work unless earlier terminated as provided below.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party") except as expressly permitted in this Agreement. "Confidential Information" includes measurement data, raw logs, proprietary methods, instrument calibration records, and any non-public business or technical information.

The Receiving Party may disclose Confidential Information to its employees, contractors, or agents who have a legitimate need to know, provided that such persons are bound by confidentiality obligations no less protective than those set forth herein. Confidential Information does not include information that is or becomes public through no breach of this Agreement, is already rightfully in the possession of the Receiving Party, or is required to be disclosed by law or court order (provided the Receiving Party gives prompt notice to the Disclosing Party).

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Data Accuracy and Certification

Service Provider certifies that, to the best of its knowledge, the measurements and associated metadata recorded on this form and accompanying deliverables were performed in accordance with the agreed protocols and with commercially reasonable care. Service Provider will retain calibration and maintenance records and make them available upon reasonable request.

Entire Agreement

This Agreement, including its Scope of Work and any attachments or appendices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, both written and oral.
