Provider will perform measurements using the methods indicated above and will exercise reasonable care and skill in performing such services. Measurements and derived areas are representations based on conditions observed at the time of measurement and are subject to the tolerance stated above.

Client acknowledges and agrees that:

  • Measurements are not a warranty of suitability for a particular purpose and may vary from final construction, manufacturer-reported dimensions, or legal property descriptions.
  • Unforeseen site conditions, concealed elements, or inaccuracies in third-party drawings may affect the final measurement outcome.
  • Provider is not responsible for variances arising from alterations made after measurement or from reliance on outdated documentation.

Client Acceptance of Variance: Client accepts measurements subject to the tolerance stated above and agrees that minor variances within that tolerance will not constitute a breach.

PAYMENT TERMS

Late fee:    Unpaid sums accrue interest and Provider may suspend further services if invoices are not paid within the timeframes specified above.

Either party may terminate for convenience upon written notice delivered at least days prior to the effective termination date. Termination for cause may occur immediately if a material breach is not cured within a commercially reasonable cure period after written notice.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public information disclosed in connection with the performance of this Measurement Disclosure Form and to not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information shall not include information that is publicly known through no fault of the receiving party or independently developed by the receiving party without use of the disclosing party's confidential information.

GOVERNING LAW

This Measurement Disclosure Form shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to conflict of law principles.
