MECHANICAL SERVICES AGREEMENT

This Mechanical Services Agreement (the "Agreement") is entered into as of (the "Effective Date") by and between Contractor Name: with principal place of business at , and Client Name: with principal place of business at .

RECITALS

WHEREAS, Contractor is duly qualified and experienced in the provision, installation, maintenance and repair of mechanical systems, including but not limited to HVAC, piping, and related mechanical equipment; and

WHEREAS, Client desires to engage Contractor to perform mechanical services at the location(s) and on the scope described in this Agreement, and Contractor is willing to perform such services under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall furnish all labor, supervision, materials (unless otherwise specified), equipment, tools, permits and insurance required to perform the services described above in a professional and workmanlike manner consistent with industry standards. Any work outside the written Scope of Work shall require a written change order signed by both parties.

2. PAYMENT TERMS

Invoices not paid within days of the invoice date shall bear interest at per month (or the maximum lawful rate if lower). In addition, Client shall be responsible for collection costs, including reasonable attorneys' fees, incurred by Contractor on account of late payment.

3. TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon delivery of written notice to the other party not less than days prior to the effective date of termination. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within ten (10) days after receiving written notice describing the breach.

4. CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public technical, business, financial or operational information disclosed by the other party (the "Disclosing Party") that is marked as confidential or that, by its nature, should reasonably be considered confidential. Confidential information shall not include information that is (a) already known to the Receiving Party without restriction, (b) publicly available other than by breach of this Agreement, or (c) rightfully received from a third party without restriction. The obligations in this section shall survive termination of this Agreement for years.

5. INSURANCE; INDEMNIFICATION

Contractor shall maintain, at its own expense, commercial general liability insurance and workers' compensation insurance as required by law and in amounts reasonably appropriate for the services performed. Contractor shall indemnify, defend and hold harmless Client from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent acts, omissions or willful misconduct in connection with the performance of the Services. Client shall indemnify Contractor for claims arising from Client's negligence or willful misconduct.

6. WARRANTY

Contractor warrants that all services performed under this Agreement shall be free from defects in workmanship for a period of months from completion. This warranty does not cover damage or defects resulting from misuse, abuse, lack of maintenance, acts of God, or unauthorized alterations. Contractor's sole obligation under this warranty shall be to repair or replace defective work, at Contractor's option.

7. SUBCONTRACTING

Contractor may engage subcontractors or suppliers to perform portions of the Services. Contractor shall remain responsible for the acts and omissions of its subcontractors and for compliance with this Agreement. Subcontracting: Allowed

8. NOTICES

All notices under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses provided above or to such other address as either party may specify in writing.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

10. ENTIRE AGREEMENT

This Agreement, including any exhibits or change orders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification of this Agreement shall be binding unless executed in writing by both parties.

11. SEVERABILITY; ASSIGNMENT

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Contractor may assign to an affiliate or in connection with a sale of substantially all of its assets.

12. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding as originals.
