MEDIA APPEARANCE RELEASE

WHEREAS

WHEREAS, Producer engages in the creation, production and distribution of recorded media, including audio, video, photographic and digital content, and seeks the appearance and participation of the Participant for the media described in this Release;

WHEREAS, Participant has agreed to appear and to render services, statements and performances on the Date of Appearance in connection with Producer's production, subject to the terms and conditions set forth in this Release;

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Grant of Rights; Use of Likeness

Participant hereby irrevocably grants to Producer, its licensees, successors and assigns, a worldwide, perpetual, royalty-free, transferable and sublicensable right and license to record, photograph, film, interview, reproduce, edit, adapt, publicly display, perform, publish and otherwise use Participant's name, voice, likeness, image, biographical information, statements, performances and other content created in connection with the appearance (collectively, the "Materials") in any and all media now known or hereafter devised. Producer's rights include the right to combine the Materials with other content and to create derivative works, and to use the Materials for advertising, promotion, distribution, exhibition and any other lawful purpose in perpetuity.

Participant waives any right to inspect or approve any finished product or the specific uses to which the Materials may be put and releases Producer from any claim based on moral rights, right of publicity, invasion of privacy or defamation arising out of Producer's use of the Materials in accordance with this Release.

Payment Terms

Compensation: Producer agrees to pay Participant the total amount of $ for the services and rights granted herein, subject to the payment schedule set forth below.

Late Payment: Any amount not paid when due shall accrue interest at a rate of per month, or the maximum rate permitted by law, whichever is less. Participant shall deliver an invoice in accordance with the Payment Schedule and provide any required tax information. All payments are exclusive of taxes; Producer may withhold taxes where required by law.

Term and Termination

Term: This Release shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination: Either party may terminate this Release for material breach by providing written notice to the other party and a reasonable opportunity to cure. Unless the breach is material and uncured, termination shall not affect Producer's right to continue to use Materials created prior to termination pursuant to the license granted in this Release.

Notice Period for Non-Renewal or Cancellation: days' written notice is required for either party to effect non-renewal or cancellation not for material breach.

Confidentiality

Except for the Materials and information already publicly known or lawfully obtained independently of this Release, the parties shall keep confidential any proprietary, business, financial or trade-secret information exchanged in connection with the appearance. Confidential information shall not be disclosed without prior written consent of the disclosing party, unless disclosure is required by law, regulation or valid legal process.

Representations, Warranties and Indemnification

Participant represents and warrants that Participant has the right to grant the rights granted herein, that Participant's appearance and the Materials will not violate the rights of any third party, and that Participant will comply with all applicable laws and regulations. Participant shall indemnify, defend and hold harmless Producer and its affiliates, licensees and assigns from and against any losses, liabilities, damages, claims and expenses (including reasonable attorneys' fees) arising out of any breach of these representations and warranties.

Producer represents and warrants that it will use the Materials in a manner consistent with generally accepted industry practices and shall indemnify Participant for any claims arising from Producer's use of the Materials outside the scope of this Release or in a manner that violates applicable law.

Miscellaneous

No Obligation to Use: Producer shall have no obligation to use the Materials or to exploit any rights granted herein. Any decision to use, edit or exploit the Materials shall be in Producer's sole discretion within the scope of this Release.

Assignment: Producer may assign or transfer its rights under this Release without Participant's consent. Participant may not assign rights or delegate obligations without Producer's prior written consent.

Severability: If any provision of this Release is held to be invalid or unenforceable, the remainder of this Release shall remain in full force and effect.

This Release shall be governed by and construed in accordance with the laws of the state indicated above, without regard to its conflict of laws principles.

Entire Agreement

This Release constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification of this Release must be in writing and signed by both parties.

If Participant is a minor, the signature of a parent or legal guardian is required below. By signing, the parent or guardian warrants that they have the legal authority to enter into this Release on behalf of the minor and hereby consents to the terms herein.

Participant acknowledges that Participant has read this Release, understands its contents, and has had the opportunity to consult with independent counsel. Participant further acknowledges that no other promises, representations or inducements have been made other than those set forth herein.
