MEDIA APPEARANCE RELEASE AGREEMENT

RECITALS

WHEREAS, Producer is producing or distributing a media program, series, event or other audiovisual work identified as Production Title: (the "Production");

WHEREAS, Participant has agreed to appear, perform, be interviewed, provide statements, or otherwise participate in the Production (the "Appearance") on the Appearance Date(s): ; and

WHEREAS, the parties desire to set forth the terms under which Participant grants Producer rights to use Participant's name, voice, likeness, performance and biographical information.

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF RIGHTS

Participant hereby irrevocably grants to Producer, its licensees, successors and assigns, the perpetual, worldwide, royalty-free right and license to record, reproduce, edit, broadcast, distribute, publish, promote, display and otherwise exploit Participant's Appearance, name, voice, likeness, performance, biographical information and other attributes (collectively, the "Materials") in any and all media now known or hereafter devised, in whole or in part, alone or in combination with other materials, for any purpose in Producer's sole discretion.

2. USE, EDITING AND CREDIT

Participant acknowledges and agrees that Producer shall have sole editorial control over all Uses of the Materials, including the right to edit, alter and combine the Materials. Producer shall not be required to obtain Participant's approval of any final edit, version or advertising copy. Credit, if any, will be at Producer's discretion. Requested credit:

4. REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant has the full right, power and authority to enter into this Agreement and to grant the rights granted herein; that the performance of Participant under this Agreement will not violate the rights of any third party; and that no further consents or approvals are required to effectuate the rights granted. Participant further warrants that Participant's statements in the Appearance will not be unlawful, defamatory, obscene or invade the privacy or violate the publicity rights of any third party.

5. INDEMNIFICATION

Participant shall indemnify, defend and hold harmless Producer, its officers, directors, representatives, licensees and assigns from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of Participant's representations, warranties or obligations under this Agreement, or any claim by a third party arising out of Participant's acts or statements. Producer shall indemnify Participant against claims arising from Producer's gross negligence or willful misconduct in connection with the Production.

6. CONFIDENTIALITY AND PUBLICITY

Except as necessary to exercise the rights granted herein or as required by law, Producer shall not be obligated to disclose to Participant the manner or extent of dissemination. Participant consents to Producer's use of Participant's name, likeness and biographical material for promotional and advertising purposes in connection with the Production without further approval or compensation beyond that set forth in this Agreement.

7. TERM, TERRITORY AND PERPETUITY

The rights granted in this Agreement shall be effective as of the date first written above and shall continue in perpetuity in all territories worldwide.

8. NOTICES

All notices required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as the party may designate by notice in accordance with this Section.

9. AMENDMENT, WAIVER AND COUNTERPARTS

This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
