MEDIA IMAGE RELEASE

Recitals

WHEREAS, Releasor is an individual or legal guardian who has provided or will provide photographic, video or audio recordings, digital images, and related materials described below ("Media"); and

WHEREAS, Releasee desires the right to reproduce, publish, distribute, display, modify and otherwise use the Media for commercial and non-commercial purposes as set forth herein; and

WHEREAS, the parties wish to set forth their entire agreement regarding the grant of such rights and any compensation, confidentiality and other terms.

Scope of Work

Releasor grants to Releasee the right to photograph, record, capture and obtain the Media described below and to use such Media as provided in this Agreement. The Media may include photographs, still images, motion pictures, audio recordings and any derivative works.

Permitted uses shall include reproduction, distribution, public display, editing, alteration, inclusion in composite works, sublicensing and any other use whether in print, electronic, digital or broadcast media, worldwide and in perpetuity, unless otherwise limited in this Agreement.

Payment Terms

Releasor shall be paid compensation as follows unless Releasor selects that no compensation is due. Compensation, if any, is full and complete consideration for the rights granted herein.

Term and Termination

This Agreement is effective as of the Effective Date below and continues unless earlier terminated as provided in this section. Releasee's license to use the Media granted herein is perpetual unless a specific end date is entered below.

Confidentiality and Restrictions

Except as otherwise permitted herein, Releasee shall not disclose or use any confidential personal information of Releasor beyond the uses expressly authorized in this Agreement. Releasee's commercial use of the Media remains subject to applicable privacy, publicity and data protection laws.

Waiver, Representations and Indemnity

Releasor represents and warrants that Releasor has full legal capacity to grant the rights herein, that no third-party consents are required, and that the grant will not violate any agreement or law. Releasor hereby irrevocably releases and forever discharges Releasee from any claims arising from the authorized use of the Media and waives any right to inspect or approve finished product. Releasor agrees to indemnify Releasee against claims arising from breach of these representations.

Releasor further expressly waives and releases any moral rights, attribution rights or rights of integrity in the Media to the extent permitted by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to conflict of law principles.

Entire Agreement

This Agreement contains the entire understanding of the parties with respect to the subject matter and supersedes all prior agreements, representations and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

Minor Participant

If the person appearing in the Media is under the age of 18, the parent or legal guardian must complete the following.
