MEDIA IMAGE RELEASE CONTRACT

This Media Image Release Contract ("Agreement") is entered into as of by and between Releasor Name: with Address: (hereinafter "Releasor"), and Licensee Name: with Address: (hereinafter "Licensee").

RECITALS

WHEREAS, Releasor owns or controls certain photographic, video, digital or other image material, recordings or likenesses described below (collectively "Images"); and

WHEREAS, Licensee desires to obtain the rights to use, reproduce, distribute and otherwise exploit the Images for the purposes and on the terms set forth in this Agreement; and

WHEREAS, Releasor is willing to grant such rights to Licensee subject to the terms and conditions contained herein.

NOW, THEREFORE

In consideration of the mutual covenants herein and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows:

Releasor hereby irrevocably grants, conveys and assigns to Licensee and Licensee's successors, licensees and assigns a worldwide, perpetual, sublicensable, transferable, royalty-free right and license to reproduce, publish, distribute, display, perform, modify, adapt, crop, edit and otherwise use the Images in any media or format now known or hereafter devised, for any commercial, promotional, advertising, editorial or other lawful purpose.

Releasor affirms that to the extent Releasor owns copyright in the Images, Releasor transfers and assigns to Licensee all right, title and interest in and to the copyright in the Images to the extent transferable. Releasor also expressly waives and relinquishes any moral rights or similar rights in the Images to the maximum extent permitted by law.

Releasor represents and warrants that: (a) Releasor is the sole owner of the rights granted or is authorized to grant such rights; (b) the exercise by Licensee of the rights granted will not infringe the rights of any third party; and (c) there are no outstanding agreements, liens or encumbrances that would impair Licensee's use of the Images as permitted by this Agreement.

8. RELEASE AND INDEMNITY

Releasor releases Licensee from any and all claims, demands, causes of action, liability and damages arising out of Licensee's use of the Images consistent with this Agreement. Releasor shall indemnify, defend and hold harmless Licensee from and against any third-party claims arising from breach of Releasor's representations, including reasonable attorneys' fees and costs.

9. CONFIDENTIALITY

The parties agree that any non-public commercial terms of this Agreement shall be kept confidential and shall not be disclosed to third parties except as required by law, or to a party's professional advisors under confidentiality obligations.

10. NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice. Notice to Releasor:

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. This Agreement may be executed in counterparts, each of which shall constitute an original and all of which together shall constitute one instrument.
