This Media Press Release and Authorization Agreement (the Agreement) is made and entered into as of by and between:

WHEREAS

WHEREAS, Client is the owner or authorized representative of the subject matter described in the Press Release and seeks to disseminate factual information to the media and public; and

WHEREAS, Agency is engaged to prepare, finalize, and distribute the Press Release on behalf of Client in accordance with the scope of services described below; and

WHEREAS, the parties desire to set forth their respective duties, payment terms, confidentiality obligations and the terms under which the Press Release may be published.

Scope of Work

Agency shall perform the following services (collectively, the Services): drafting and editing the Press Release content; obtaining Client approvals; formatting for distribution; and distributing the Press Release to agreed channels. Specific deliverables, milestones and approvals are set forth below and in the Press Release metadata above.

Payment Terms

Total Fee: $

Late Payment: If Client fails to pay any undisputed amount when due, Client will pay interest at % per month on the overdue balance, or the maximum lawful rate, whichever is less. In addition, Agency may suspend further distribution until payment is made.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach is effective immediately upon written notice if the breach is not cured within 10 days after receiving notice.

Confidentiality

Each party agrees that Confidential Information disclosed by one party to the other will be held in strict confidence and used only for purposes of performing this Agreement. Confidential Information does not include information that is (i) publicly known through no fault of the recipient, (ii) independently developed by the recipient, or (iii) rightfully received from a third party without breach of an obligation of confidentiality. Upon termination, recipient will return or destroy Confidential Information upon request.

Authorization to Publish; Approvals

Client grants Agency the limited right to publish the final Press Release content on the agreed distribution channels. Agency will not publish any materially substantive change without Client's prior written approval. Client will provide approval or requested revisions within days of receipt; failure to timely respond constitutes deemed approval for publication.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of without regard to conflict of law principles. Any claim arising out of or relating to this Agreement shall be brought in the state or federal courts located in that jurisdiction.

Entire Agreement

This Agreement, together with any executed schedules and the Press Release content incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Amendments must be in writing and signed by authorized representatives of both parties.

Representations; Indemnity

Client represents and warrants that it has the right to disclose the information contained in the Press Release and to grant the rights herein. Client will indemnify, defend and hold Agency harmless from any losses, damages or liabilities arising from claims that the Press Release infringes third-party rights or contains false statements, except to the extent caused by Agency's gross negligence or willful misconduct.
