MEDIA PRODUCTION VIDEO AGREEMENT

This Media Production Video Agreement (the "Agreement") is entered into as of Date: by and between Client Name: with address at Client Address: (hereafter "Client"), and Producer Name: with address at Producer Address: (hereafter "Producer"). Client and Producer are sometimes referred to individually as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, Client desires the creation, production and delivery of a video production described as Production Title: (the "Production");

WHEREAS, Producer is engaged in the business of producing audiovisual content and represents that Producer has the skill, personnel and equipment necessary to produce the Production in accordance with the terms set forth in this Agreement;

WHEREAS, the Parties wish to set forth the terms and conditions under which Producer will produce, deliver and transfer rights in the Production to Client, subject to the payment and license provisions below.

SCOPE OF WORK

Producer shall perform the services necessary to prepare, film, edit and deliver the Production as described below. The specific deliverables, milestones, technical specifications and acceptance criteria are set forth in the Scope of Work.

PAYMENT TERMS

Client shall pay Producer the fees set forth below in exchange for the services and deliverables described in this Agreement. All amounts are expressed in U.S. dollars unless otherwise stated. Unless otherwise agreed, fees do not include sales, use or similar taxes which shall be paid by Client where applicable.

Late Payment: Amounts not paid within days of the invoice due date shall accrue interest at the rate of per month (or the maximum rate permitted by law), and Client shall be responsible for reasonable collection costs.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, ends on End Date: .

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within Notice Period: days after written notice. Client may terminate for convenience upon payment to Producer of all fees due for work performed and reasonable wind-down costs through the effective date of termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one Party to the other in connection with the Production, including creative materials, scripts, budgets, client lists and proprietary processes, whether disclosed orally, visually or in writing.

Obligation: The receiving Party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except to those employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations, and shall not use such information except to perform its obligations under this Agreement. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement or that is independently developed by the receiving Party.

OWNERSHIP AND LICENSE

Copyright and Moral Rights: Unless otherwise agreed in writing, Producer retains copyright and all moral rights in the raw footage, outtakes and underlying materials created in connection with the Production. Producer will not assert moral rights in a manner that unreasonably interferes with Client's permitted use.

License to Client: Upon full payment of all amounts due under this Agreement, Producer grants Client a non-exclusive, worldwide license to use the final deliverables for the following permitted uses: . Any use beyond the permitted uses requires a separate written license and additional compensation.

INVOICING; TAXES; EXPENSES

Producer shall submit invoices in accordance with the payment schedule. Client shall pay undisputed invoices within days of receipt. Client is responsible for any agreed reimbursable expenses and applicable sales, use or value-added taxes, unless a valid exemption is provided in writing.

WARRANTIES AND INDEMNIFICATION

Each Party represents that it has the full right, power and authority to enter into this Agreement. Producer warrants that to the best of Producer's knowledge the materials delivered to Client will not infringe third-party copyrights. Producer agrees to indemnify and hold Client harmless from third-party claims arising from Producer's breach of the foregoing warranty; Client agrees to indemnify Producer for claims arising from Client-provided materials or directions that infringe third-party rights.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits and accepted statements of work, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral. Any amendment must be in writing and signed by both Parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
