WHEREAS, Applicant Name: (the "Applicant") desires to grant the Producer the rights set forth in this Media Release Application in connection with the Project described below.

WHEREAS, the parties intend that this document constitute a contractual release and license for the uses specified herein and that payment and other terms shall be as set forth in the Payment Terms section.

Grant of Rights and Release

Applicant hereby irrevocably grants to the Producer and its licensees, successors and assigns a perpetual, worldwide, royalty-free, transferable right and license to record, use, reproduce, distribute, display, perform, modify and create derivative works of Applicant's name, likeness, voice, performance, and biography (collectively, "Likeness") in connection with the Project and for promotional, advertising, educational, archival and commercial purposes in any and all media now known or hereafter devised. This grant includes the right to edit, composite, crop, or otherwise alter recordings and images containing Applicant's Likeness.

Applicant releases the Producer from any claims for invasion of privacy, defamation, or other causes of action in connection with the authorized uses of Applicant's Likeness as set forth above. Applicant acknowledges that no further permission, approval, or payment will be required for such uses except as expressly provided in the Payment Terms section below.

All payments are contingent upon timely delivery of any required releases, W-9 or billing information and are subject to reasonable verification of services rendered. Taxes, if any, are the responsibility of the payee unless otherwise agreed in writing.

Either party may terminate this Agreement upon written notice delivered to the other party at least days prior to intended termination. Termination shall not affect rights and licenses granted prior to the effective date of termination, including the Producer's right to use previously recorded materials in accordance with this Agreement.

Confidentiality

The parties acknowledge that certain information exchanged in connection with this Agreement may be confidential. Each party agrees to hold in confidence and not disclose Confidential Information of the other party, except as required by law or to exercise its rights under this Agreement. Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party or that was lawfully received from a third party without restriction.

Representations; Indemnification

Applicant represents and warrants that Applicant has full right and authority to grant the rights granted herein and that no third party's consent is required. Applicant agrees to indemnify, defend and hold harmless the Producer from any claims, losses or liabilities arising out of any breach of the foregoing representation or any unauthorized use of third-party intellectual property.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles.

Entire Agreement

This Media Release Application constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
