WHEREAS, Producer/Company desires to record, photograph, film, and otherwise capture the voice, likeness, performance and/or other contributions of Participant for use in connection with Producer's projects, promotional materials, and other lawful purposes; and

WHEREAS, Participant is willing to grant Producer certain rights in the recorded materials on the terms and subject to the conditions set forth in this Media Release Consent Form (the "Agreement");

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Grant of Rights

Participant hereby irrevocably grants to Producer, its successors, licensees and assigns, a worldwide, perpetual, royalty-free, assignable, sublicensable right and license to record, reproduce, distribute, publicly display and otherwise exploit the Media (as defined in Scope of Work) in any and all media now known or hereafter developed for any purpose, including but not limited to advertising, promotion, education, broadcast, internet and archival purposes, without further compensation to Participant.

Participant further waives any claim to royalty or other compensation arising from Producer's exercise of the rights granted herein and releases Producer from any claims for invasion of privacy, defamation, or misappropriation related to such use, except as expressly provided in this Agreement.

Participant acknowledges that Producer may edit, alter, copy, exhibit, publish or distribute the Media at Producer's discretion and that Producer is under no obligation to use the Media.

Participant confirms all moral rights, if any, are waived to the fullest extent permitted by applicable law. Participant also consents to any use of Participant's name, voice, likeness or biographical material in connection with the Media unless expressly stated otherwise in writing below.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within after written notice. Termination shall not affect Producer's right to continue to use Media previously created in accordance with the rights granted herein unless otherwise agreed in writing.

Confidentiality

Unless otherwise agreed in writing, Participant understands that the recording sessions, production process, and any non-public information disclosed by the Producer shall be treated as confidential while the Producer reasonably designates it as confidential. Participant shall not disclose confidential information to third parties except as required by law.

Representations, Warranties & Indemnity

Participant represents and warrants that Participant has full right and authority to enter into this Agreement and to grant the rights herein, that the use of the Media by Producer as permitted by this Agreement will not violate the rights of any third party, and that Participant will indemnify, defend and hold Producer harmless from and against any claims, losses, liabilities or expenses (including reasonable attorneys' fees) arising from any breach of such representations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment to this Agreement must be in writing signed by both parties.
