WHEREAS, Producer/Company named above (the "Producer") is engaged in the production, distribution and promotion of photographic and audiovisual media in connection with the project titled ;

WHEREAS, Participant desires to grant the Producer certain rights to photograph, record and otherwise capture Participant's likeness, voice and performance on the terms set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth the full terms and consideration for such use and to release all claims related to the capture and exploitation of such media.

Scope of Work

The Producer is authorized to photograph, film, record, reproduce, edit, composite and otherwise use Participant's image, voice, performance and biographical material (collectively, the "Material") in connection with the Project described above and for promotional, advertising, distribution and archival purposes in any and all media now known or hereafter devised, throughout the universe, in perpetuity.

Rights Granted

Participant grants Producer the exclusive and/or non‑exclusive right (as indicated below) to use the Material. Participant acknowledges that Producer may alter, crop, edit, combine with other content, create derivative works, and license the Material to third parties without additional approval from Participant.

Term and Termination

This Agreement commences on and continues until , unless earlier terminated as set forth below.

Termination for material breach does not extinguish Producer's rights to content already captured or distributed in reliance on this Agreement, except where a court orders otherwise.

Confidentiality

The parties acknowledge that certain information disclosed in connection with the Project may be proprietary or confidential. Each party agrees to maintain in confidence and not disclose to third parties confidential information of the other party, except as required by law or to effect the rights granted herein. Confidential information does not include information that is publicly known through no fault of the receiving party.

Warranties, Release and Indemnification

Participant represents and warrants that Participant has full right, power and authority to enter into this Agreement and to grant the rights herein; that the Material and Participant's performance do not infringe any third party rights; and that no further permissions or payments are required. Participant hereby releases Producer and its licensees from any claims, demands or causes of action arising out of Producer's use of the Material in accordance with this Agreement.

Participant agrees to indemnify, defend and hold harmless Producer and its agents, employees and licensees from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of Participant's breach of any representation, warranty or agreement contained herein.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by both parties.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed upon by the parties below.

Acknowledgment and Certification

Participant acknowledges having read and understood this Release, that Participant is of legal age to contract (or that a parent/guardian signature is provided if Participant is a minor), and that Participant enters into this Agreement voluntarily, without coercion, and with full knowledge of its legal consequences.
