MEDIA RELEASE AND WAIVER AGREEMENT

GRANT OF RIGHTS AND RELEASE

Releasor hereby grants to Releasee, its affiliates, licensees, successors and assigns an irrevocable, perpetual, worldwide, royalty-free license to photograph, record, reproduce, publish, distribute, exhibit, perform, modify, adapt and otherwise use the Media and Releasor's name, voice, likeness, biographical information and performance (collectively, "Rights") in any and all media now known or hereafter developed, for any lawful purpose including, but not limited to, advertising, promotion, distribution, archival and commercial uses.

Releasor releases and forever discharges Releasee from any and all claims, demands, causes of action, liabilities and damages of any kind arising out of or in connection with the capture, use, distribution or display of the Media or the exercise of the Rights granted herein, including without limitation claims for invasion of privacy, appropriation of likeness, defamation or infringement of moral rights, to the fullest extent permitted by applicable law.

Either party may terminate this Agreement for material breach by providing written notice to the other party and a cure period of days. Termination shall not extinguish Releasee's perpetual license to use Media already created prior to termination, except as otherwise expressly agreed in writing.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with the creation or use of the Media may be confidential. Releasor and Releasee agree to maintain in confidence any information designated in writing as confidential by either party and not to use such information except as necessary to perform obligations under this Agreement. This confidentiality obligation shall not apply to information that is or becomes publicly known through no wrongful act of the receiving party, or that is independently developed or lawfully received from a third party.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Releasor represents and warrants that Releasor is at least eighteen (18) years of age, has the full right and authority to enter into this Agreement and to grant the Rights herein, and that the exercise of such Rights will not violate the rights of any third party. If Releasor is under the age of eighteen (18), the signature of a parent or legal guardian is required below and the parent or guardian represents that they have authority to execute this Agreement on behalf of the minor.

Releasor agrees to indemnify and hold harmless Releasee and its agents, employees, licensees and assigns from and against any and all losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the foregoing representations and warranties or any claim by a third party related to Releasor's breach of this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Any amendment or modification must be in writing and signed by both parties.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Counterparts and Electronic Signatures: This Agreement may be executed in counterparts, each of which shall be deemed an original, and electronic or facsimile signatures shall have the same force and effect as original signatures.
