MEDIA SUBSCRIPTION TV RENEWAL AGREEMENT

Recitals

WHEREAS, Subscriber Name: (the "Subscriber") has maintained an account for television programming and related subscription services pursuant to an existing agreement dated Original Agreement Date: under Account Number: .

WHEREAS, Provider Name: (the "Provider") supplies cable, satellite, internet-delivered, or other television programming services (the "Services") to the Subscriber; and

WHEREAS, the parties desire to renew and amend the terms governing the Subscriber's receipt of Services on the terms and conditions set forth in this Renewal Agreement (the "Agreement").

Scope of Services

Provider shall continue to deliver the Services described below to Subscriber for the Renewal Term described in this Agreement. The Services shall include programming packages, channel lineups, access levels, and any equipment or streaming credentials identified by the parties.

Payment Terms

Subscriber agrees to pay Provider the Renewal Fee and any applicable taxes, regulatory fees, or other government-imposed charges. All fees shall be calculated and billed in United States Dollars unless otherwise agreed in writing.

Late payments shall incur a Late Fee as provided below. Provider may suspend or terminate Services for nonpayment in accordance with this Agreement after providing required notice.

Either party may terminate this Agreement for material breach that is not cured within the notice period provided in this Agreement. Termination by Subscriber prior to the end of the Renewal Term may give rise to an Early Termination Fee as set forth below.

Confidentiality

Each party shall treat the other party's confidential information as confidential and shall not disclose such information except as required by law or as necessary to perform under this Agreement. Confidential information includes Subscriber account details, pricing, and Provider technical or commercial information. This obligation shall survive termination of this Agreement for a period of two (2) years.

Additional Terms

Taxes and surcharges: Subscriber is responsible for applicable taxes, franchise fees, and other governmental charges unless specifically included in the Renewal Fee. Provider reserves the right to pass through newly imposed governmental fees or surcharges.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or acquirer of substantially all of its assets without Subscriber consent provided no material downgrade of Services occurs.

Limitation of Liability and Indemnification: Except for willful misconduct or gross negligence, neither party shall be liable for consequential damages. Subscriber shall indemnify Provider for claims arising from Subscriber's misuse of Services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of State of Governing Law State: without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with any incorporated service schedules or order forms signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral.
