WHEREAS

WHEREAS, Producer is engaged in the business of producing audiovisual content and desires to record, photograph, produce, reproduce and use the Participant's name, voice, likeness, image and performance as part of a video production (the "Production"); and

WHEREAS, Participant is willing to grant Producer the rights set forth below in consideration of the mutual covenants, representations and payments described in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

GRANT OF RIGHTS

Participant hereby grants Producer and Producer's successors, licensees and assigns a perpetual, worldwide, royalty-free, transferable and sublicensable right to record, edit, reproduce, distribute, publish, exhibit and otherwise use Participant's name, voice, likeness, image and performance in connection with the Production in any and all media now known or hereafter devised for advertising, promotional, archival and commercial purposes, without further compensation except as set forth in Payment Terms below.

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve Producer of rights to use materials already created prior to termination to the extent licensed herein, except as otherwise required by applicable law.

CONFIDENTIALITY

The parties acknowledge that Producer may disclose to Participant production-related confidential information. Participant shall not disclose or use such confidential information except as reasonably required to perform under this Agreement. The obligations of confidentiality do not apply to information that is publicly known through no fault of Participant or required to be disclosed by law.

REPRESENTATIONS, RELEASE AND INDEMNIFICATION

Participant represents and warrants that Participant is of full legal age and has full right, power and authority to enter into and perform this Agreement. If Participant is a minor, Parent/Guardian must complete the Minor Consent section below and sign on behalf of the minor.

Participant irrevocably releases Producer and its officers, employees, agents and licensees from any claims, demands, liabilities and causes of action arising out of the authorized use of the recordings and materials as set forth in this Agreement, including but not limited to claims for invasion of privacy, defamation, or violation of rights of publicity. Participant will indemnify and hold Producer harmless from any third-party claims arising from Participant's breach of this Agreement or false representations.

Participant is under 18 years of age and Parent/Guardian consent is required.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Exclusive venue for any dispute arising out of this Agreement shall be the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. Any amendment or modification must be in writing signed by both parties.

NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the addresses listed above or to another address designated by a party in writing. Notice shall be deemed given on the date of delivery if delivered personally, or three business days after deposit with the postal service if mailed.
