Medical Services Agreement

RECITALS

WHEREAS, Provider is duly licensed and qualified to deliver medical, clinical and/or professional healthcare services described below in accordance with applicable professional standards and laws; and

WHEREAS, Client desires to engage Provider to perform such services for the benefit of Client or Client's patients on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth their full understanding and allocation of responsibilities, compensation and confidentiality with respect to the services to be rendered.

SCOPE OF WORK

Provider shall perform the medical and professional services described below. Services shall be rendered in a competent, timely manner consistent with prevailing professional standards.

PAYMENT TERMS

Compensation: Client shall pay Provider the fees set forth below in exchange for services rendered under this Agreement.

Late Payment: Invoices not paid within days of receipt shall be subject to a late fee of % per month on the outstanding balance, or the maximum permitted by law, whichever is less.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall expire on unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach, professional misconduct, loss of license, or failure to cure a breach within a commercially reasonable period following written notice.

CONFIDENTIALITY

Each party shall maintain as confidential and shall not disclose to any third party any proprietary or confidential information of the other party received in connection with this Agreement, including but not limited to patient records, medical histories, clinical data, business information and pricing, except as necessary to perform obligations under this Agreement or as required by law.

If Protected Health Information (PHI) as defined under applicable privacy laws is exchanged, the parties shall comply with all applicable healthcare privacy and security laws and regulations governing such PHI, and shall implement and maintain reasonable safeguards to protect PHI from unauthorized use or disclosure. The parties agree that confidentiality obligations shall survive termination of this Agreement for a period of five (5) years, or longer if required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, and each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total fees paid or payable to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as either party may specify in writing; notices are effective upon personal delivery, or three (3) business days after deposit in the United States mail, postage prepaid, certified or registered.
