WHEREAS, Supplier is engaged in the business of manufacturing and supplying medical apparel, including scrub tops, scrub pants, and related garments; and

WHEREAS, Client desires to purchase specified medical scrubs from Supplier under the terms and conditions set forth in this Order Form and Purchase Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree that Client's purchase of the goods described below shall be governed by the terms of this Agreement.

PAYMENT TERMS

Deposit required to confirm order:    Balance due: within days of invoice or prior to shipment, whichever occurs first.

Late payment shall incur a late fee of % per month on overdue balances, plus costs of collection including reasonable attorneys' fees. All payments are due in the currency stated on the invoice and are non-refundable once production has commenced on custom goods.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after receipt of written notice. Termination shall not relieve Client of its obligation to pay for goods delivered or costs incurred prior to termination.

CONFIDENTIALITY

Each party agrees to hold in confidence and not disclose any non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes publicly known through no wrongful act of the receiving party or is rightfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

WARRANTY, LIMITATION OF LIABILITY

Supplier warrants that goods shall conform to the specifications set forth in this Order for a period limited to the manufacturer's standard warranty from shipment. EXCEPT AS SET FORTH ABOVE, SUPPLIER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

GOVERNING LAW & ENTIRE AGREEMENT
