This General Business Agreement ("Agreement") is entered into as of the Effective Date by and between:

WHEREAS

WHEREAS, Provider is duly licensed and qualified to provide pharmaceutical supply, medication dispensing, and medication administration coordination services as set forth herein; and

WHEREAS, Client desires to retain Provider to perform medication-related services for Client or Client's patients under the terms and conditions contained in this Agreement; and

WHEREAS, the parties intend that Provider will supply medications, medication administration protocols, recordkeeping, and training described below, and that such services will comply with applicable professional and statutory standards.

SCOPE OF WORK

Provider shall perform the following services (collectively, the "Services"): supply and dispense prescribed medications, prepare medication administration records, deliver medication management plans, train designated Client staff on administration procedures, and provide ongoing medication reconciliation and reporting. Provider shall perform the Services in accordance with accepted professional standards and any written protocols provided by Client that do not conflict with applicable law.

PAYMENT TERMS

Client shall pay Provider fees for the Services as set forth below. All amounts payable are exclusive of applicable taxes unless otherwise stated.

If any undisputed amount due under this Agreement is not received within days after the due date, Client shall pay interest on the overdue amount at a rate of or the maximum rate permitted by law, whichever is lower.

TERM AND TERMINATION

Term: This Agreement shall commence on the Effective Date and shall continue until unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within days after receipt of notice specifying the breach.

Effect of Termination: Upon termination, Provider shall deliver to Client all medication records, inventories, and reconciliation reports completed through the termination date. Client shall pay Provider for Services performed and for medications supplied through the effective date of termination, less any appropriate offsets.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information received from the other party (the "Disclosing Party") in connection with this Agreement, including patient medication records, pricing, business processes, protocols, and other proprietary information ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to any third party except as required to perform the Services, to its professional advisors, or as required by law, and shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that (a) is or becomes publicly available through no breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is independently developed without use of the Disclosing Party's Confidential Information.

Remedies: A breach of this Confidentiality clause may cause irreparable harm for which monetary damages would be inadequate; accordingly, the Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

INSURANCE AND COMPLIANCE

Provider shall maintain and keep in force all applicable licenses, permits, and insurance required by law, including professional liability and product liability coverage in amounts sufficient for the Services. Provider warrants that medications supplied will originate from lawful sources and will meet applicable labeling and safety requirements.

INDEMNIFICATION

Each party (the "Indemnitor") shall indemnify, defend, and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's negligent acts, willful misconduct, or material breach of this Agreement, except to the extent caused by the indemnitee's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment to this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Survival: Provisions that by their nature should survive termination or expiration of this Agreement shall so survive, including confidentiality, indemnification, and payment obligations.
