The parties record the principal topics, objectives, and deliverables discussed at the meeting. Attendee attests that the Scope of Meeting set forth below is an accurate summary of the items discussed.

PAYMENT TERMS

If attendance triggers any fee or honorarium, the parties agree to the following payment terms. Fees shall be invoiced and paid in accordance with this section.

Late Payment: Any undisputed amount not paid within the agreed payment period shall accrue interest at or a late fee of per billing cycle, whichever is greater. The Organization shall also be responsible for reasonable collection costs and attorneys' fees incurred to recover overdue amounts.

TERM AND TERMINATION

This Attestation becomes effective on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate this Attestation for material breach by the other party upon providing prior written notice and an opportunity to cure. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical or financial information disclosed in connection with the meeting. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for purposes related to the meeting; and (c) not disclose Confidential Information except to employees, contractors or advisors with a need to know who are bound to confidentiality at least as protective as this Attestation. Confidential Information does not include information that is or becomes publicly available through no breach of this Attestation, is already known by the recipient without obligation of confidentiality, or is independently developed by the recipient.

Remedy: The parties acknowledge that monetary damages may be inadequate and that injunctive or equitable relief may be sought to prevent a breach or threatened breach of this confidentiality provision.

GOVERNING LAW

This Attestation shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Exclusive venue for disputes shall be the state and federal courts located within that state.

ENTIRE AGREEMENT

This Attestation, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
