Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. Termination for cause may occur upon material breach not cured within days after written notice specifying the breach.

Confidentiality

Each party acknowledges that, in connection with the meeting, it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party agrees: (a) to hold Confidential Information in strict confidence; (b) to use Confidential Information solely to perform obligations under this Agreement; and (c) not to disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as permitted by law.
