Meeting Booking Contract

This Meeting Booking Contract (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to book meeting space, associated facilities and related services for a meeting, conference, or similar event (the "Meeting"); and

WHEREAS, Service Provider has represented that it is capable of providing the meeting space, equipment, staffing and ancillary services described in this Agreement and agrees to provide such services under the terms set forth herein.

SCOPE OF WORK

PAYMENT TERMS

Late payments shall bear interest at the rate of on the outstanding balance, and the Service Provider may suspend services if payments are more than days past due following written notice.

Either party may terminate this Agreement for cause if the other party materially breaches and fails to cure such breach within days after receipt of written notice specifying the breach. Either party may terminate without cause with at least days' prior written notice; termination without cause by Client after services have commenced may require Client to pay reasonable cancellation fees to cover costs incurred.

CANCELLATION AND RESCHEDULING

If Client cancels the Meeting fewer than days prior to the scheduled commencement date, Client shall remain responsible for a cancellation fee equal to percent of the remaining unpaid fees. Rescheduling requested by Client is subject to availability and may be subject to additional fees.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, including business terms, attendee lists, proprietary materials, pricing and operational details. Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose it to third parties except as necessary to perform under this Agreement, and (iii) use Confidential Information only for the purposes of performing its obligations hereunder. These obligations shall survive termination of this Agreement for a period of three (3) years.

LIABILITY, INSURANCE AND INDEMNITY

Each party shall maintain insurance customary for its business operations, including commercial general liability and, where applicable, workers' compensation. To the fullest extent permitted by law, Client shall indemnify and hold harmless Service Provider from claims arising out of Client's negligence or willful misconduct, and Service Provider shall indemnify Client for Service Provider's negligence or willful misconduct. Neither party shall be liable for consequential, incidental or special damages except for breaches of confidentiality or indemnification obligations.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performing obligations caused by events beyond its reasonable control, including acts of God, government action, labor disputes, or public health orders. The affected party shall provide prompt written notice and use commercially reasonable efforts to mitigate the impact.

COMPLIANCE

Each party shall comply with all applicable laws, regulations and venue rules, including occupancy limits, health and safety requirements, and accessibility standards. Client is responsible for obtaining any necessary permits, licenses, or consents related to its activities at the Meeting.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree that venue for any dispute shall be the courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
