MEETING POINT AGREEMENT

This Meeting Point Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Organizer shall arrange and coordinate a meeting point for Participant and other designated attendees for the purpose of conducting the meeting described herein (the Meeting); and

WHEREAS, Participant requires Organizer's services to plan, establish, and operate the Meeting point logistics including arrival coordination, on-site signage, and basic attendee communication; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Meeting point and related services.

SCOPE OF WORK

Organizer shall provide the following services at the Meeting point. Services shall include setup, management, and breakdown as described below. Any services not expressly described shall be considered additional services requiring written agreement and additional compensation.

PAYMENT TERMS

Compensation: Participant shall pay Organizer the total sum of $ for the services described in this Agreement.

Late Payment: Any undisputed amount not received by the due date shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. In addition, Organizer reserves the right to suspend services until payment is brought current.

TERM AND TERMINATION

Term: This Agreement commences on and shall terminate on unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Organizer shall be entitled to payment for services performed and non‑refundable costs incurred through the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation and fails to cure such breach within 10 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means nonpublic information disclosed by one party to the other in connection with the Meeting, including attendee lists, logistical plans, pricing, and proprietary procedures.

Obligations: Each party shall (a) protect Confidential Information with the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees or contractors on a need‑to‑know basis who are bound by confidentiality obligations at least as protective as those herein.

Exceptions: Confidential Information does not include information that is or becomes public through no breach by the receiving party, is already known by the receiving party without restriction, or is independently developed without reference to the disclosing party's Confidential Information. Disclosure required by law is permitted provided the receiving party gives prompt notice to the disclosing party and cooperates to seek protective measures.

Acknowledgement: The parties acknowledge that monetary damages may be inadequate remedy for breach of this Section and that the non‑breaching party may seek injunctive relief in addition to other remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located within such state.

MISCELLANEOUS

Assignment: Neither party may assign or delegate this Agreement in whole or in part without the prior written consent of the other party, except that Organizer may assign to an affiliate or successor in interest.

Modification: No amendment or modification of this Agreement shall be effective unless made in a writing signed by authorized representatives of both parties.

ENTIRE AGREEMENT

This Agreement, including any attachments or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Execution in Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic or facsimile signatures shall be deemed original signatures for all purposes.
