Either party may terminate this meeting arrangement for convenience upon written notice to the other party delivered at least days prior to the scheduled meeting. CONFIDENTIALITY

All non-public information, materials, or communications exchanged in connection with the meeting (collectively, Confidential Information) shall remain the confidential property of the disclosing party. Each receiving party shall:

(a) use Confidential Information solely for the purpose of participating in and performing obligations related to the meeting; (b) restrict disclosure to employees, agents, or advisors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) upon request, promptly return or destroy Confidential Information and certify such return or destruction in writing. Confidentiality obligations survive termination of this Notification for a period of three (3) years, unless otherwise required by law.

The obligations set forth are in addition to, and do not limit, any available equitable remedies, including injunctive relief, for unauthorized disclosure.
