WHEREAS, Venue Provider operates the meeting space described below and is willing to provide room facilities, set-up, and ancillary services subject to the terms and conditions of this document; and

WHEREAS, the parties desire to memorialize the meeting particulars, services to be performed, payment terms and confidentiality commitments in a single instrument to govern the engagement.

CONFIDENTIALITY

Each party shall maintain in confidence any non-public information disclosed in connection with the meeting that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be used for any purpose other than performance under this agreement and shall not be disclosed except to employees or contractors who need the information to perform obligations and who are bound by confidentiality obligations no less restrictive than those set forth herein. The obligations of confidentiality do not apply to information that (a) is or becomes public without breach, (b) is rightfully received from a third party free of restriction, or (c) is independently developed without use of the confidential information.

This document, including any attached notes and scopes of work recorded herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
