MEETING ROOM RENTAL ADDENDUM

This Meeting Room Rental Addendum (the Addendum) is made as of and amends the agreement identified below between the parties.

1. WHEREAS, the parties entered into a separate written agreement titled "Meeting Room Rental Agreement" dated (the Original Agreement) concerning the rental of meeting facilities; and

2. WHEREAS, the parties desire to amend certain terms of the Original Agreement to permit rental of the meeting room(s) described below for the additional dates, times, and services set forth in this Addendum; and

3. WHEREAS, except as expressly modified herein, all terms and conditions of the Original Agreement remain in full force and effect.

If payment is not received by the Balance Due Date, interest shall accrue at the rate described above and the Provider may suspend access to facilities until all amounts are paid in full.

CANCELLATION AND REFUND

Cancellation by Client must be provided in writing. If Client cancels more than days prior to the Event Start Date, the deposit shall be refunded less administrative fees. Cancellation within that period will forfeit the deposit and may require additional fees as set by Provider.

TERM AND TERMINATION

This Addendum is effective as of the Event Start Date and shall terminate on the Event End Date unless otherwise extended in writing by both parties.

Either party may terminate this Addendum for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Notice must be given in accordance with the Original Agreement.

CONFIDENTIALITY

Each party agrees that any non-public business information disclosed in connection with this Addendum that is designated as confidential or that reasonably should be understood to be confidential shall be held in strict confidence and shall not be used or disclosed except as necessary to perform obligations under this Addendum or as required by law. Confidential information shall not include information that is publicly known or independently developed without use of the other party's confidential information.

INSURANCE AND INDEMNITY

Client shall maintain, at its own expense, general liability insurance covering its use of the premises in amounts reasonably satisfactory to Provider. Client agrees to indemnify and hold Provider harmless from and against any claims, liabilities, losses, or expenses arising out of Client's use of the meeting room, except to the extent caused by Provider's gross negligence or willful misconduct.

ADDITIONAL PROVISIONS

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating to such subject matter. In the event of any conflict between this Addendum and the Original Agreement, the provisions of this Addendum shall control.
